Each of the Moon Board, or a duly authorized committee thereof, and the SpinCo Board, at meetings duly called, has unanimously approved and declared advisable this Agreement, the Separation and Distribution Agreement and the other Transaction Documents and the Merger and the other transactions contemplated by this Agreement and the Transaction Documents, upon the terms and conditions set forth in this Agreement and such Transaction Documents.
Immediately after the Mergers, the SpinCo Board will be reconstituted as provided in Exhibit I.
If the SpinCo Board reasonably does not approve such SpinCo Independent Designee Replacement candidate to the SpinCo Board, then SpinCo and Starboard will continue to follow the procedures of this paragraph 8(c) until a SpinCo Independent Designee Replacement is appointed to the SpinCo Board.

If the NCGC does not accept a SpinCo Independent Designee candidate, then Starboard may recommend additional SpinCo Independent Designee candidate(s) whose appointment to the SpinCo Board will be subject to the NCGC recommending such SpinCo Independent Designee candidate in accordance with the procedures contemplated by this paragraph 8(a).
