Sponsor Fees definition

Sponsor Fees means the fees payable by the Parent or any of the Restricted Subsidiaries of the Parent to the Sponsor or any Affiliate of the Sponsor pursuant to a management or services agreement approved by the board of directors of the Parent or any Restricted Subsidiary of the Parent, in each case, to the extent such fees are for services provided to Parent and its Restricted Subsidiaries.
Sponsor Fees has the meaning set forth in Section 6.9(a).

Examples of Sponsor Fees in a sentence

  • The RECIPIENT agrees to use Sponsor Fees supplied pursuant to this Agreement exclusively for expenses relating to the Activity and in compliance with the Danish Ethical Rules for Promotion of Medicinal Products towards Healthcare Professionals as well as the Danish Ethical Rules for Collaboration between Patient Organisations and the Pharmaceutical Industry.

  • In consideration of the performance of the Activities, and the provision of the Counterpart, SANOFI shall pay a fixed price ("Sponsor Fees") defined in the Special Terms.

  • In the event that all Sponsor Fees provided by SANOFI are not used in connection with the Activity, the RECIPIENT agrees to return unused funds to SANOFI.

More Definitions of Sponsor Fees

Sponsor Fees means (i) any fee paid or payable to the Sponsor and its Affiliates pursuant to any Sponsor Management Agreement and (ii) any fee paid or payable to the Sponsor (or any Person that is an Affiliate of, or otherwise employed by, the Sponsor) that is in respect of the Sponsor’s (or such Person’s) service as a member of the board of directors (or similar governing body) of Holdings, Intermediate Holdings, Borrower or any of its Restricted Subsidiaries; provided that (a) the aggregate amount of all such fees payable pursuant to the foregoing clauses (i) and (ii) in any Fiscal Year shall not exceed $1,000,000, plus the amount of any such fees that have accrued but were not permitted to be paid under Section 6.08(o) due to the occurrence and continuance of an Event of Default, and (b) Sponsor Fees shall not include any amounts attributable to the payment or reimbursement of reasonable out-of-pocket costs to, and indemnities provided on behalf of, the Sponsor or such Person either (x) in connection with management, monitoring, consulting and advisory services provided by them to Holdings, Intermediate Holdings, Borrower or any of its Restricted Subsidiaries or (y) serving in its, his or her capacity as a member of the board of directors (or similar governing body) of Holdings, Intermediate Holdings, Borrower or any of its Restricted Subsidiaries.
Sponsor Fees means the fees payable by Parent or any of the Subsidiaries of Parent to the Sponsor or any Affiliate of the Sponsor pursuant to a management or services agreement approved by the board of directors of Parent or any Subsidiary of Parent, in each case, to the extent such fees are for services provided to Parent and its Subsidiaries.

Sponsor Fees means any management, consulting, monitoring, transaction, advisory and other fees, indemnities and expenses payable to Summit Partners, L.P., KRG Capital Partners, LLC or any of their respective employees or Affiliates pursuant to a sponsor management agreement or otherwise (whether incurred prior to or after the Issue Date) and any termination fees (including any such cash lump sum or present value fee upon the consummation of a corporate event, including an initial public equity offering), including, without limitation, management and advisory fees to, and expenses of Permitted Holders; provided that Sponsor Fees shall not include any indemnification obligations or payments owed by the Company or any Restricted Subsidiary to managers and/or officers of the Company or any of its Subsidiaries. Any payment obligation of the Company or any Restricted Subsidiary relating to Sponsor Fees that accrues after the Issue Date shall be pursuant to an agreement that provides for contractual subordination of such Sponsor Fees to the Indebtedness represented by the Securities issued on the Issue Date, any PIK Notes issued to satisfy any PIK Payment, and the Subsidiary Guarantees thereof.
Sponsor Fees means sponsor fees, transaction fees and other similar items paid to the CCMP Investors or any affiliated investment manager by the Company or its Subsidiaries or taken out of the proceeds of any transaction with the Company or any of the Subsidiaries or in connection with the acquisition or disposition of the CCMP Investors Securities (or dividends or distributions on the CCMP Investors Securities).
