Standard Outbound Licenses definition

Standard Outbound Licenses means nonexclusive end user terms of service entered into by end users of the Company Products in the ordinary course on the Company’s standard unmodified form of agreement (a copy of which has been provided to Acquirer).

Standard Outbound Licenses means Contracts entered into in the ordinary course of business on a non-exclusive basis: (A) granting licenses to customers; (B) containing licenses to vendors and service providers for the purpose of providing the applicable services to the Company or any of its Subsidiaries; (C) that are non-disclosure agreements; and (D) containing trademark or feedback licenses, in each case solely that are incidental to the primary purpose of such Contract.

Standard Outbound Licenses has the meaning assigned to such term in Section 3.11(b).

Examples of Standard Outbound Licenses in a sentence

• The Company and each of its Subsidiaries owns, and has good and exclusive title to, all Company Intellectual Property free and clear of any Lien or encumbrance (other than the Intellectual Property Contracts required to be set forth on Section 2.8(m) of the Company Disclosure Schedule, Standard Outbound Licenses and Standard Services Agreements).
