Sublessee Documents definition

Sublessee Documents means the Agency Compliance Agreement and the Sublease Agreement.
Sublessee Documents means the Sublease, the Sublease Supplement covering the Aircraft, the acceptance certificate covering the Aircraft in the form agreed to by Sublessor and Sublessee (herein called the “Sublease Acceptance Certificate”) and the Airline Services Agreement.
Sublessee Documents means this Sublease, each Sublease Supplement, each Insurance Assignment, the Purchase Agreement (as it relates to the Aircraft), the Purchase Agreement Assignment, the Consent and Agreements, the Engine Agreement (as it relates to the Engines), the Engine Assignment, the Sublessee Powers of Attorney, the Russian Law Powers of Attorney, the Engine Consent and Agreements, the Eurocontrol Letter, the EU ETS Authority Letter, and each notice, acknowledgement, consent or agreement provided in respect of any of the foregoing documents and any other document designated in writing as such by the Lessee and the Sublessee.

  • Provided that no Event of Default has occurred and is continuing, if, following either (i) an Event of Loss or (ii) the sale of the Aircraft by the Security Trustee following a Lessee Event of Default, the Lessee receives proceeds pursuant to Section 34 of the Participation Agreement in excess of the Relevant Value and all other amounts that are due under the Sublessee Documents, the Lessee will return such excess (if any) to the Sublessee.

  • Any cancellation shall be without prejudice to any accrued rights or remedies either Party may have under the Sublessee Documents.


More Definitions of Sublessee Documents

Sublessee Documents means each Sublease Operative Document to which Sublessee is a party and each other agreement between the Sublessee and the respective parties thereto relating to the Transactions. “Sublessee’s Maintenance Program” means the Maintenance Program approved by the Aviation Authority for Sublessee’s maintenance of the Equipment. “Sublessor” means Republic Airline Inc., an Indiana corporation, and its permitted successors and assigns. “Sublessor Documents” means each Sublease Operative Document to which the Sublessor is a party and each other agreement between the Sublessor and the respective parties thereto relating to the Transactions. “Sublessor Liens” means any Lien or disposition of title or interest arising as a result of (i) claims against Sublessor not related to the Transactions, (ii) any act or omission of the Sublessor, which is not related to the Transactions or is in violation of any of the terms of the Operative Documents, (iii) claims against the Sublessor with respect to Taxes or Expenses against which Sublessee is not required to indemnify the Sublessor, (iv) claims against Sublessor arising out of any transfer by Sublessor of all or any portion of the respective interests of Sublessor in the Equipment, or the Sublease Operative Documents other than the transfer of possession of the Aircraft pursuant to the Sublease, a transfer of the Aircraft pursuant to Sections 9 or 10 of the Sublease or pursuant to the exercise of the remedies set forth in Section 14 of the Sublease. “Subsidiary” means, with respect to any Person (the “parent”) at any date, any corporation, limited liability company, partnership, association or other entity the accounts of which would be consolidated with those of the parent in the parent’s consolidated financial statements if such financial statements were prepared in accordance with GAAP as of such date, as well as any other corporation, limited liability company, partnership, association or other entity of which securities or other ownership interests representing more than 50% of the equity or more than 50% of the

In addition, Sublandlord shall comply with all of its obligations as “Tenant” under the Master Lease except to the extent that any such obligation is the obligation of Subtenant pursuant to the terms of this Sublease. Notwithstanding any other term or provision of this Sublease, the liability of Subtenant to Sublandlord for any default in Subtenant’s obligations under this Sublease shall be limited to actual, direct damages, and under no circumstances shall Sublandlord, its partners, members, shareholders, directors, agents, officers, employees, contractors, sublessees, successors and/or assigns be entitled to recover from Subtenant (or otherwise be indemnified by Subtenant) for lost revenues, lost profit or other consequential, special or punitive damages arising in connection with this Sublease for any reason, except for any breach by Subtenant under Section 32 of the Master Lease. Notwithstanding any other term or provision of this Sublease, no personal liability shall at any time be asserted or enforceable against Subtenant’s shareholders, directors, officers, or partners on account of any of Subtenant’s obligations or actions under this Sublease.
