Sublease Supplement definition

Sublease Supplement means a Sublease Supplement, substantially in the form of Exhibit A hereto, to be entered into between Sublessor and Sublessee on the Commencement Date for the purpose of subleasing the Aircraft under and pursuant to the terms of this Sublease Agreement, and any subsequent Sublease Supplement entered into in accordance with the terms hereof.

Sublease Supplement means the Sublease Supplement No. 1, substantially in the form of Appendix E, which, as of the Delivery Date, will be executed by Sublessor and Sublessee and, together with this Agreement, filed with the FAA for recordation (assuming that the Aircraft is registered in the United States) with the economic terms in Appendix B deleted in the document filed for such purposes to the extent not prohibited by Law.

Sublease Supplement means a supplement to the Sublease to be entered into as of the Acceptance Date by Sublessee, which supplement shall be substantially in the form attached to the Sublease, and upon execution by Sublessee shall constitute a part of the Sublease.

• Basic Rent shall be adjusted as of the [ * ] anniversary of the Closing Date, based on the difference between the Debt Rate effective on the Closing Date and the Debt Rate effective on the [ * ] anniversary of the Closing Date, in the manner described in Exhibit B to the Sublease Supplement.

• The single executed original of this Sublease Agreement and the Sublease Supplement marked "Original" together comprise the only original for chattel paper purposes, and all other counterparts are duplicates for chattel paper purposes and are marked "duplicate".

Sublease Supplement means a Sublease Supplement executed by the Lessee and a Permitted Sublessee in substantially the form attached as Exhibit A to the Subsidiary Sublease.

Sublease Supplement means each sublease supplement to be entered into between Sublessor and Sublessee under the Sublease in respect of an Item of Equipment dated the Delivery Date for such Item of Equipment, substantially in the form of Exhibit A to the Sublease, for the purpose of leasing such Item of Equipment under and pursuant to the terms of the Lease, and any other Lease Supplement entered into in accordance with the terms of the Sublease. “Sublessee Documents” means each Sublease Operative Document to which Sublessee is a party and each other agreement between the Sublessee and the respective parties thereto relating to the Transactions. “Sublessee’s Maintenance Program” means the Maintenance Program approved by the Aviation Authority for Sublessee’s maintenance of the Equipment. “Sublessor” means Republic Airline Inc., an Indiana corporation, and its permitted successors and assigns. “Sublessor Documents” means each Sublease Operative Document to which the Sublessor is a party and each other agreement between the Sublessor and the respective parties thereto relating to the Transactions. “Sublessor Liens” means any Lien or disposition of title or interest arising as a result of (i) claims against Sublessor not related to the Transactions, (ii) any act or omission of the Sublessor, which is not related to the Transactions or is in violation of any of the terms of the Operative Documents, (iii) claims against the Sublessor with respect to Taxes or Expenses against which Sublessee is not required to indemnify the Sublessor, (iv) claims against Sublessor arising out of any transfer by Sublessor of all or any portion of the respective interests of Sublessor in the Equipment, or the Sublease Operative Documents other than the transfer of possession of the Aircraft pursuant to the Sublease, a transfer of the Aircraft pursuant to Sections 9 or 10 of the Sublease or pursuant to the exercise of the remedies set forth in Section 14 of the Sublease. “Subsidiary” means, with respect to any Person (the “parent”) at any date, any corporation, limited liability company, partnership, association or other entity the accounts of which would be consolidated with those of the parent in the parent’s consolidated financial statements if such financial statements were prepared in accordance with GAAP as of such date, as well as any other corporation, limited liability company, partnership, association or other entity of which securities or other ownership interests representing more than 50% ...
