Subsidiary Guaranty Documents definition

Subsidiary Guaranty Documents means, with respect to any Subsidiary that is required to become a Guarantor or a Pledged Subsidiary pursuant to Section 8.14., the following documents: (x) an Accession Agreement (or if the Guaranty is not then in effect, the Guaranty) executed by such Subsidiary, (y) during a Collateral Period, a joinder to the Pledge Agreement (in the form contemplated thereby) (or if the Pledge Agreement is not then in effect, the Pledge Agreement) executed by the Company or any Subsidiary of the Company that owns any Equity Interests in such Subsidiary and (z) the items with respect to such Subsidiary that would have been delivered under Sections 6.1.(I)(a)(iv) through (viii) and (xiv) if such Subsidiary had been a Subsidiary Guarantor on the Agreement Date (in the case of Section 6.1.(I)(a)(iv), only to the extent requested by the Administrative Agent), each in form and substance reasonably satisfactory to the Administrative Agent.

Subsidiary Guaranty Documents means, with respect to any Subsidiary that is required to become a Subsidiary Guarantor pursuant to Section 8.14, the following documents: (x) an Accession Agreement executed by any such Subsidiary Guarantor, (y) [intentionally omitted], and (z) the items with respect to such Subsidiary Guarantor, the Borrower or Subsidiary, as the case may be, that would have been delivered under Sections 6.1(a)(iv) through (viii) and (xiv) if such Subsidiary Guarantor or Subsidiary had been a Subsidiary Guarantor on the Agreement Date (in the case of Section 6.1(a)(iv), to the extent requested by the Administrative Agent), each in form and substance reasonably satisfactory to the Administrative Agent.

Examples of Subsidiary Guaranty Documents in a sentence

  • As to all such Subsidiaries acquired or coming into existence subsequent to June 1, 1998, Borrower shall cause all such Subsidiary Guaranty Documents in respect thereof to have been executed and delivered as soon as practicable after, but in any event within thirty (30) days after, its acquisition or creation.

  • If Bank does not have a first priority perfected security interest in the Swiss Subsidiary’s assets that are subject to the Swiss Subsidiary Guaranty Documents.

  • The Lender shall have received Subsidiary Guaranties from each of the Borrower's Subsidiaries listed on Schedule 4.8 hereto, together with all applicable Subsidiary Guaranty Documents, each of which shall be satisfactory in form, scope and substance to Lender.

More Definitions of Subsidiary Guaranty Documents

Subsidiary Guaranty Documents means a Subsidiary's guaranty of the Borrowers' obligations under the Loan Documents, in form and substance reasonably satisfactory to the Bank, duly executed by a duly authorized officer of such Subsidiary, together with certified resolutions and an incumbency certificate for such Subsidiary comparable to those required by Sections 5.1(d) and 5.1(e).

  • Subsidiary Guaranty means, collectively, the Subsidiary Guaranty made by the Subsidiary Guarantors in favor of the Collateral Agent on behalf of the Secured Parties, substantially in the form of Exhibit F-2, together with each other Guaranty and Guaranty supplement delivered pursuant to Section 6.12.

  • Guaranty means, with respect to any Person, any obligation (except the endorsement in the ordinary course of business of negotiable instruments for deposit or collection) of such Person guaranteeing or in effect guaranteeing any indebtedness, dividend or other obligation of any other Person in any manner, whether directly or indirectly, including (without limitation) obligations incurred through an agreement, contingent or otherwise, by such Person:

  • Note Guaranty means the guaranty of the Notes by a Guarantor pursuant to this Indenture.

  • VA Loan Guaranty Agreement means the obligation of the United States to pay a specific percentage of a Mortgage Loan (subject to a maximum amount) upon default of the Mortgagor pursuant to the Servicemen’s Readjustment Act, as amended.

  • Subsidiary Guarantees means the guarantees of each Subsidiary Guarantor as provided in Article Thirteen.

  • Guarantor Joinder Agreement means a guarantor joinder agreement substantially in the form of Exhibit 7.12 delivered by a Domestic Subsidiary of the Borrower pursuant to Section 7.12.

  • Parent Guarantee means the guarantee of payment of the Securities by the Parent Guarantor pursuant to the terms of this Indenture.

  • First Lien Security Documents means the Security Documents and any other agreement, document or instrument pursuant to which a lien is granted or purported to be granted securing First Lien Obligations or under which rights or remedies with respect to such liens are governed, in each case to the extent relating to the collateral securing the First Lien Obligations.
