System Control Software definition

System Control Software means software capable of accessing, monitoring and/or controlling one or more Nodes and/or Gateways in a Network. However, System Control Software shall not include any firmware or software that is integrated or intended for integration into Nodes and/or Gateways, or any components thereof.
System Control Software means the executable object code, the uncompiled object code and/or the source code of software programs along with any updates, patches, scripts, modifications, enhancements, designs, concepts or other materials that constitute the software programs necessary for proper functionality and operation of the system to be provided by Profound Technologies as set forth in the SOW.

Examples of System Control Software in a sentence

  • Customer is not licensed to reverse engineer, decompile or disassemble the System Control Software, except, and only to the extent that, applicable law may permit such activity or such activity is expressly authorized herein or in the SOW.

  • If the System Control Software fails to perform as specified and accepted, all remedies are pursuant to the policies and terms as specifically set forth in the SOW and this Agreement.

  • The System Control Software is licensed to the Customer pursuant to the terms and conditions stated herein, and the Customer expressly acknowledges that the System Control Software has not been sold to it, and that the Customer acquires no rights or title to the System Control Software in conjunction with this Agreement.

  • OhmComm, Inc.’ makes no warranty or representation that the System Control Software will be bug or error free, or that use of the System Control Software will achieve any particular result(s), except as may be stipulated in the published specifications included within the documentation.

  • These Task Orders may include, but are not limited to, the upgrade and revision of the SNOC NEXT System Control Software.

  • For clarification, the royalties set forth in this Section 3.1 are additive to the extent that Devices, System Control Software and/or Remote Access Services are Sold separately.

  • Customer agrees to place proper notice of copyright on all copies of the System Control Software and documentation generated by the Customer pursuant to this Agreement.

  • Customer further agrees to secure and protect each computer, workstation or terminal which allows direct access to the System Control Software as well as the software itself, documentation related to the software, and copies thereof and all related intellectual property in a manner consistent with the maintenance of OhmComm, Inc.’ rights therein and the confidential and/or proprietary nature thereof.

  • Notwithstanding the foregoing System Control Software License, Customer shall not, under any circumstances whatsoever, copy, distribute, or modify the software specifically used in conjunction with the OhmComm, Inc.

  • All express or implied warranties, if any, relating to any portions of System Control Software shall be deemed null and void if any modification to the System Control Software is made by any party other than OhmComm, Inc., except any modifications or customizations expressly authorized in the SOW or herein.

Related to System Control Software

  • System Software means Software that provides the operating and management instructions for the underlying hardware and other components, and is identified as such in Appendix 4 of the Contract Agreement and such other Software as the parties may agree in writing to be Systems Software. Such System Software includes, but is not restricted to, micro-code embedded in hardware (i.e., “firmware”), operating systems, communications, system and network management, and utility software.

  • Business Software means with respect to a Licensor, all Software to the extent Controlled by such Licensor or any of its Affiliates as of the Effective Date, which Software is reasonably required as of the Effective Date for the conduct of (i) the Agriculture Business if the Licensee is AgCo, including as listed on section (i) of Schedule Q, or (ii) the Materials Science Business if the Licensee is MatCo, including as listed on section (ii) of Schedule Q, in each case (in respect of the foregoing (i) and (ii)), only if and to the extent such Licensee and its Affiliates have not been granted a license or other rights to use such Software under the Separation Agreement or any other Ancillary Agreement. Notwithstanding the foregoing, Business Software expressly excludes any and all Excluded IP.

  • Hosted Software means: (a) Hosted NCR Voyix Software; and (b) Non-NCR Voyix Software provided by a third party as a hosted software application or cloud service and for which Customer purchases a subscription through NCR Voyix pursuant to an Order (“Non-NCR Voyix Hosted Software”).

  • Standard Software means Software identified as such in Appendix 4 of the Contract Agreement and such other Software as the parties may agree in writing to be Standard Software.

  • Server Software means software that provides services or functionality on a computer acting as a server.

  • Embedded Software means one or more software applications which permanently reside on a computing device.

  • SAP Software means: (i) any and all software products and Cloud Services licensed to Customer under the License Agreement as specified in software order forms or Cloud Service Order Forms (or other order forms, schedules or appendices as applicable) thereto; (ii) any new releases, updates or versions thereof made available through unrestricted shipment pursuant to the respective support agreement or warranty obligation and (iii) any complete or partial copies of any of the foregoing.

  • Integrated Software refers to any software or programmable code that is embedded or integrated in a Hardware Device and enables the functionality of the Hardware Device. Integrated Software does not include and You do not have rights to (a) code or functionality for diagnostic, maintenance, repair or technical support services; or (b) separately licensed applications, development tools, or system management software or other code that is separately licensed by us or a third party. You have the limited, non-exclusive right to use Integrated Software delivered with a Hardware Device (and any updates acquired through our technical support services) only as incorporated in, and as part of, the Hardware Device and subject to any terms delivered with or on the Hardware Device and/or in the applicable documentation.

  • Customer Software means software which is owned by or licensed to the Customer, including Specially Written Software and Assigned Software and software which is or will be used by the Supplier for the purposes of providing the Services but excluding the Supplier Software;

  • Tyler Software means our proprietary software, including any integrations, custom modifications, and/or other related interfaces identified in the Investment Summary and licensed by us to you through this Agreement. • “we”, “us”, “our” and similar terms mean Xxxxx. • “you” and similar terms mean Client.

  • Custom Software means Software identified as such in Appendix 4 of the Contract Agreement and such other Software as the parties may agree in writing to be Custom Software.

  • Company Software means Software owned or purported to be owned by or developed by or for the Company or any Company Subsidiary.

  • Company Proprietary Software means all Software owned by the Company.

  • Computer software means computer programs, source code, source code listings, object code listings, design details, algorithms, processes, flow charts, formulae, and related material that would enable the software to be reproduced, recreated, or recompiled. Computer software does not include computer databases or computer software documentation.

  • SAP Group Software means (i) any and all software products listed on the Price List as well as any SAP SDK which are provided by SAP or any other member of the SAP Group to Partner or to an End User (either directly or indirectly via Partner) under any part of this Agreement all as developed by or for the SAP Group; (ii) any new releases, updates or versions thereof made available through unrestricted shipment pursuant to Maintenance Services or warranty obligation by any member of the SAP Group; and (iii) any complete or partial copies of any of the foregoing.

  • Computer Hardware and Software means, with respect to any Debtor, all of such Debtor's rights (including rights as licensee and lessee) with respect to (i) computer and other electronic data processing hardware, including all integrated computer systems, central processing units, memory units, display terminals, printers, computer elements, card readers, tape drives, hard and soft disk drives, cables, electrical supply hardware, generators, power equalizers, accessories, peripheral devices and other related computer hardware; (ii) all software programs designed for use on the computers and electronic data processing hardware described in clause (i) above, including all operating system software, utilities and application programs in whatsoever form (source code and object code in magnetic tape, disk or hard copy format or any other listings whatsoever); (iii) any firmware associated with any of the foregoing; and (iv) any documentation for hardware, software and firmware described in clauses (i), (ii) and (iii) above, including flow charts, logic diagrams, manuals, specifications, training materials, charts and pseudo codes.

  • Developed Software means software specifically designed for the Principal under the Contract. Depending how advanced its development is, it may be either a Product or a Service or both.

  • Computer System means (1) computers with related peripheral components, including storage components, (2) systems and applications software, (3) terminal devices, (4) related communications networks or customer communication systems, and (5) related electronic funds transfer systems; by which data or monies are electronically collected, transmitted, processed, stored or retrieved.

  • Client Software means software that allows a Device to access or utilize the services or functionality provided by the Server Software.

  • Restricted computer software means computer software developed at private expense and that is a trade secret, is commercial or financial and confidential or privileged, or is copyrighted computer software, including minor modifications of the computer software.
