Target Achievement Level definition

Target Achievement Level means the First Year Ending Stock Price Average equals the Starting Stock Price Average at the end of the First Year Measurement Period; the Second Year Ending Stock Price Average equals the Starting Stock Price Average at the end of the Second Year Measurement Period; and Third Year Ending Stock Price Average equals the Starting Stock Price Average at the end of the Third Year Measurement Period.
Target Achievement Level means the NATP specified on Appendix A as the Target Achievement Level for the Fiscal Year ending June 30, 20xx. Any capitalized term used herein that is not expressly defined in this Agreement shall have the meaning that such term has under the Plan unless otherwise provided herein. Appendix A, which sets forth the Cut, Target and Stretch Achievement Levels, is attached hereto and made a part hereof.

Examples of Target Achievement Level in a sentence

  • Subject to the provisions of this Agreement and pursuant to the provisions of the Plan, the Committee hereby grants to the Grantee a Performance RSU Award on the Grant Date for the targeted number of Performance RSUs stated in the Performance RSU Overview representing the number of Performance RSUs that would be tentatively earned by the Grantee upon attainment by the Company of the Target Achievement Level and the EPS condition and which would vest upon the Grantee’s completion of the Service Requirement.

  • The number of Performance RSUs to which the Grantee would be entitled if the Target Achievement Level and EPS condition is attained by the Company, and the Service Requirement fully completed, shall be credited to the Grantee’s Account as of the Grant Date.

  • If NATP for the Fiscal Year ending June 30, 20xx is equal to or greater than the NATP Target Achievement Level, but below the Stretch Achievement Level, the Grantee shall tentatively earn two-thirds (2/3 rds) of the Performance RSUs credited to Grantee’s Account.

  • If NATP for the Fiscal Year ending June 30, 20xx is between the Cut and Target Achievement Level or between the Target and Stretch Achievement Level, the Grantee shall tentatively earn an additional number of Performance RSUs, representing a prorated amount (on a straight line basis) of the difference between the number of Performance RSUs earned for attainment of the two achievement levels.

  • If NATP for the Fiscal Year ending June 30, 20xx is equal to or greater than the NATP Cut Achievement Level, but below the Target Achievement Level, the Grantee shall tentatively earn one-third (1/3rd) of the Performance RSUs credited to the Grantee’s Account.

  • If the Grantee tentatively earns 4,500 Performance RSUs for attainment of the Stretch Achievement Level, and NATP for the Fiscal Year ending June 30, 20xx is the midpoint between the NATP Target Achievement Level and the Stretch Achievement Level, the Grantee would tentatively earn an additional 750 Performance RSUs reflecting the attainment of NATP between the Target and Stretch Achievement Levels (for a total of 3,750 Performance RSUs).

  • The estimate of the maximum number of shares to be delivered, as stated in the aforementioned General Meeting resolution and contemplating the Maximum Target Achievement Level, is 261,578 for Mr. Gonzalo Gortázar Rotaeche and 163,486 for Mr. Tomás Muniesa Arantegui, with the possibility of advance delivery stated in the said resolution.

  • The final number of shares delivered will be determined by multiplying the number of units granted by the Target Achievement Level coefficient, as defined in the General Meeting’s resolution of 23 April 2015.

  • Mr. Wright met and surpassed the Target Achievement Level of his stated Objectives.

  • On the other hand, it is important to stress that the eco-price proposed is not, although similar, equal to the carbon footprint, as it does not reflect only greenhouse emissions, but incorporate all quantifiable externalities: water and energy use, impact on biodiversity, animal treatment or fair commercial relations.

Related to Target Achievement Level

  • Performance Target means the level of performance expected of the HSP in respect of a Performance Indicator or a Service Volume; “person or entity” includes any individual and any corporation, partnership, firm, joint venture or other single or collective form of organization under which business may be conducted;

  • Performance Factor means any matter that could or will significantly affect a party’s ability to fulfill its obligations under this Agreement;

  • Performance Milestone means an act or event specified in section 5.1 and described in section 9 of the EPLA.

  • Bonus Target means the annual bonus that the Executive would have received in a fiscal year under the AIP Plan and/or the EIC Plan, if the target goals had been achieved.

  • RBC level means an insurer's company action level RBC, regulatory action level RBC, authorized control level RBC, or mandatory control level RBC where:

  • Performance Targets means the specific objective goal or goals (which may be cumulative and/or alternative) that are timely set in writing by the Committee for each Executive for the Performance Period in respect of any one or more of the Business Criteria.

  • Target Award means the target award, at 100% of target level performance achievement, payable under the Plan to a Participant for the Performance Period, as determined by the Committee in accordance with Section 3(b).

  • Performance Metrics means criteria established by the Administrator relating to any of the following, as it may apply to an individual, one or more business units, divisions, or Affiliates, or on a company-wide basis, and in absolute terms, relative to a base period, or relative to the performance of one or more comparable companies, peer groups, or an index covering multiple companies:

  • Performance Measure means one or more of the following selected by the Committee to measure Company, Affiliate, and/or business unit performance for a Performance Period, whether in absolute or relative terms (including, without limitation, terms relative to a peer group or index): basic, diluted, or adjusted earnings per share; sales or revenue; earnings before interest, taxes, and other adjustments (in total or on a per share basis); basic or adjusted net income; returns on equity, assets, capital, revenue or similar measure; economic value added; working capital; total shareholder return; and product development, product market share, research, licensing, litigation, human resources, information services, mergers, acquisitions, sales of assets of Affiliates or business units. Each such measure shall be, to the extent applicable, determined in accordance with generally accepted accounting principles as consistently applied by the Company (or such other standard applied by the Committee) and, if so determined by the Committee, and in the case of a Performance Compensation Award, to the extent permitted under Code Section 162(m), adjusted to omit the effects of extraordinary items, gain or loss on the disposal of a business segment, unusual or infrequently occurring events and transactions and cumulative effects of changes in accounting principles. Performance Measures may vary from Performance Period to Performance Period and from Participant to Participant, and may be established on a stand-alone basis, in tandem or in the alternative.

  • Performance Period means the one or more periods of time, which may be of varying and overlapping durations, as the Committee may select, over which the attainment of one or more Performance Goals will be measured for the purpose of determining a Participant’s right to, and the payment of, a Performance-Based Award.

  • Achievement Percentage means the percentage of achievement determined by the Committee after the end of the Performance Cycle in accordance with Section 4 that reflects the extent to which the Company achieved the Performance Goals during the Performance Cycle.

  • Target EBITDA means, for each fiscal year, the EBITDA set forth in the operating budget of the Company, as approved by the Board, for the particular year.

  • Target Bonus Percentage means, with respect to any Executive, the target bonus percentage specified for such Executive in his or her Employment Agreement.

  • Performance Measurement Period has the meaning set forth in Section 3.1(e)(ii).

  • Weighting factor wT for an organ or tissue (T) means the proportion of the risk of stochastic effects resulting from irradiation of that organ or tissue to the total risk of stochastic effects when the whole body is irradiated uniformly. For calculating the effective dose equivalent, the values of wT are:

  • Performance Factors means any of the factors selected by the Committee and specified in an Award Agreement, from among the following objective measures, either individually, alternatively or in any combination, applied to the Company as a whole or any business unit or Subsidiary, either individually, alternatively, or in any combination, on a GAAP or non-GAAP basis, and measured, to the extent applicable on an absolute basis or relative to a pre-established target, to determine whether the performance goals established by the Committee with respect to applicable Awards have been satisfied:

  • Performance Percentage means the factor determined pursuant to a Performance Schedule that is to be applied to a Target Award and that reflects actual performance compared to the Performance Target.

  • Performance Level means a reference to one of Performance Level I, Performance Level II, Performance Level III, Performance Level IV or Performance Level V.

  • Performance Year means the calendar year prior to the year in which an Annual Award is made by the Committee.

  • Performance Objective means a standard established by the Committee to determine in whole or in part whether a Performance Award shall be earned.

  • Relative TSR means the Company’s TSR compared to the Peer Companies TSR on a relative basis. The Company and the Peer Companies from highest to lowest according to their respective TSRs will determine Relative TSR. After this ranking, the percentile performance of the Company relative to the Peer Companies will be determined using the Percentrank formula in Microsoft Excel.

  • Target Bonus means the target Bonus established for Executive, whether expressed as a percentage of Base Salary or a dollar amount.

  • Target Bonus Amount means Executive’s target annual bonus amount in effect at the time of Executive’s Qualifying Termination (disregarding any decrease in such target annual bonus amount that constitutes a Good Reason event).

  • Performance Cycle means one or more periods of time, which may be of varying and overlapping durations, as the Administrator may select, over which the attainment of one or more Performance Criteria will be measured for the purpose of determining a grantee’s right to and the payment of a Restricted Stock Award, Restricted Stock Units, Performance Share Award or Cash-Based Award, the vesting and/or payment of which is subject to the attainment of one or more Performance Goals. Each such period shall not be less than 12 months.

  • EPS means earnings per share.

  • Performance Goal means a performance goal established by the Committee pursuant to Section 10.3.
