Technology Transfer Costs definition

Technology Transfer Costs means the costs incurred by or on behalf of Silence in performing a Technology Transfer pursuant to a Work Plan and that are specifically identified as Technology Transfer Costs in such Work Plan, including, as applicable, all such FTE Costs and other reasonable out-of-pocket costs incurred by or on behalf of Silence during the performance of such Technology Transfer.
Technology Transfer Costs means the (a) [**] and (b) [**], in each case ((a) and (b)), incurred by Mersana and its Affiliates in conducting the activities allocated to it in a Technology Transfer Plan.
Technology Transfer Costs means internal and external costs incurred by TESARO for the transfer of copies of a l l tangible embodiments of Know-How necessary for Company’s establishment of Manufacturing capabilities for Compound API as described in the API Supply Agreement. With respect to internal costs, FTEs will be invoiced at an annual rate of $[***] per FTE (i.e., an hourly rate of $[***] per FTE, assuming [***] working days per year and an 8 hour workday). For the avoidance of doubt, Technology Transfer Costs exclude expenses for travel and time spent in general planning meetings. A quarterly budget for TESARO consulting services related to technology transfer will be established and agreed to by the Parties in accordance with the API Supply Agreement. All Technology Transfer Costs will be invoiced according to Section 8.13.

Examples of Technology Transfer Costs in a sentence

  • All costs borne by Mallinckrodt pursuant to this Section, including those reimbursed to MBI, shall be included in Technology Transfer Costs and both parties shall keep appropriate records of such costs.

  • In connection with a Technology Transfer pursuant to Section 2.11(a)(i), (ii), or (v), VIVUS shall be responsible for the Technology Transfer Costs.

  • If the Technology Transfer Costs were in excess of the amounts paid to Silence by Mallinckrodt under this Section 7.2.2 and were below the Cost Overrun Threshold or approved by Mallinckrodt, then Silence shall invoice Mallinckrodt for the difference and Mallinckrodt shall pay such invoice within [***] days after receipt thereof.

  • Silence shall notify the JSC if it anticipates that its actual Technology Transfer Costs will exceed the amount budgeted in the applicable Research Budget for such activity by more than the Cost Overrun Threshold.

  • In connection with a Technology Transfer pursuant to Section 2.11(a)(iv), Auxilium shall be responsible for the Technology Transfer Costs unless and until a Supply Disruption shall have occurred, in which event VIVUS shall be responsible for such Technology Transfer Costs, including reimbursing Auxilium for those already paid by Auxilium.

More Definitions of Technology Transfer Costs

Technology Transfer Costs means all Direct Costs and Indirect Costs incurred by or on behalf of a Party or any of its Affiliates in conducting any (a) Technology Transfer pursuant to Section 6.8 or (b) activities to enable Roche, its Affiliates or [****] to obtain the authorization or ability to Manufacture Products.

  • Technology Transfer has the meaning set forth in Section 5.2.
