Top Vendor definition

Top Vendor has the meaning set forth in Section 5.21(a).
Top Vendor means the top vendors of the Company and its subsidiaries to which the Company and its subsidiaries paid $10,000,000 or more during fiscal year 2018, in each case, as listed in Section 9.5(rr) of the Company Disclosure Schedule.
Top Vendor means a top ten (10) supplier of products or services to the Company and its Subsidiaries, taken as a whole, based on expenditures during the six (6) months ended January 31, 2018.

Examples of Top Vendor in a sentence

  • None of the Top Customers or Top Vendors has canceled or terminated any Contracts they may have with the Business and no Top Customer or Top Vendor has provided written notice that it is terminating, or intends to terminate, any such Contract.

  • To the Knowledge of the Vendor Group, there exists no condition or state of facts or circumstances that: (a) adversely impacts any Top Customer or Top Vendor; or (b) otherwise involves customers or suppliers of or to any member of the Purchased Business that could reasonably be expected to have a Material Adverse Effect.

  • Except as set forth on Schedule 3.22(a), since January 1, 2021, no Top Vendor has terminated or adversely modified the amount, pricing, frequency or terms of the business such Top Vendor conducts with Seller.

  • No Group Company (nor any Management Company) has any outstanding material dispute with a Top Vendor.

  • Company and the Company Subsidiaries are not, and since the Company Business Balance Sheet Date have not been, involved in any material Action or other material disagreement with any Top Vendor.

  • No Top Customer or Top Vendor has canceled, terminated or substantially curtailed its relationship with the Company or any Subsidiary of the Company, given notice to the Company or any Subsidiary of the Company of any intention to cancel, terminate or substantially curtail its relationship with the Company or any Subsidiary of the Company, or, to the knowledge of the Company, threatened to do any of the foregoing.

  • The Seller has not received any notice, nor does Seller have Knowledge, that any Top Vendor will or could reasonably be expected to terminate or adversely modify, and there are no facts or circumstances that are likely to result in any Top Vendor terminating or adversely modifying, the amount, pricing, frequency or terms of the business such Top Vendor conducts with Seller.

  • Except as set forth in Section 4.17 of the Disclosure Schedules, since December 31, 2021, no Top Customer or Top Vendor has cancelled, terminated or delivered written notice to Seller that it intends to cancel or otherwise terminate or materially reduce its relationship with the Business.

Top Vendor means each of the Company’s top 12 vendors (including suppliers and licensors) as determined by the aggregate value of total purchases or payments during the twelve-month period ended September 30, 2021.
Top Vendor means each of the top 10 third-party vendors of the Business measured by the total dollar amount of purchases by the Business during the 12 months ended December 31, 2017.

Related to Top Vendor

  • NYS Vendor ID means the ten-character identifier issued by New York State when a vendor is registered on the Vendor File.

  • Mobile food vendor means every corporation, association, joint stock association, person, firm or partnership, their lessees, directors, receivers, trustees, appointees by any court whatsoever, or the heirs, executors, administrators, or personal representatives or assignees of any deceased owner, owning, controlling, operating or managing any mobile food vending unit.

  • Top Customers has the meaning specified in Section 4.28(a).

  • Third Party Vendor means any person or entity that provides SaaS, third party software and/or related intellectual property. “Work” means any additional work the Customer requests Singtel to perform in relation to the Service.

  • Xxxxxx Group shall have the meaning set forth in Section 9.2(b) hereof.

  • TCP Customers We will not impose Credit Management Charges unless the Charges are a reimbursement of our costs and you are advised of their amount or method of calculation.

  • Xxxxxxx Group means (a) any member of the Xxxxxxx Family and (b) any Related Person of any such member.

  • Company Customer means a person or entity for whom the Company or any of its Subsidiaries was providing services either at the time of, or at any time within the twelve (12) months preceding the Termination Date, and for whom the Participant had direct contact with and/or carried out or oversaw a material business responsibility during said twelve (12) month period or about whom the Participant had exposure to or received Confidential Information as a result of the Participant’s employment with the Company or any of its Subsidiaries.

  • Supplier/Contractor means the individual, firm or company with whom the contract has been concluded for supplying the Goods and Services under the Contract. The Supplier/Contractor shall be deemed to include its successors (approved by the purchaser), representatives, heirs, executors, administrators and permitted;

  • Top Suppliers has the meaning set forth in Section 3.18.

  • Local Vendor means any business which:

  • Xxxxx Group means Xxxxx and any Affiliate of Xxxxx.

  • Top Paid Group means the top 20 percent of Employees who performed services for the Employer during the applicable year, ranked according to the amount of "415 Compensation" (determined for this purpose in accordance with Section 1.26) received from the Employer during such year. All Affiliated Employers shall be taken into account as a single employer, and Leased Employees within the meaning of Code Sections 414(n)(2) and 414(o)(2) shall be considered Employees unless such Leased Employees are covered by a plan described in Code Section 414(n)(5) and are not covered in any qualified plan maintained by the Employer. Employees who are non-resident aliens and who received no earned income (within the meaning of Code Section 911(d)(2)) from the Employer constituting United States source income within the meaning of Code Section 861(a)(3) shall not be treated as Employees. Additionally, for the purpose of determining the number of active Employees in any year, the following additional Employees shall also be excluded; however, such Employees shall still be considered for the purpose of identifying the particular Employees in the Top Paid Group:

  • Supplier/Contractor means the individual, firm or company with whom the contract has been concluded for supplying the Goods and Services under the Contract. The Supplier/Contractor shall be deemed to include its successors (approved by the purchaser), representatives, heirs, executors, administrators and permitted;

  • LOCKHEED XXXXXX Procurement Representative means a person authorized by LOCKHEED XXXXXX'x cognizant procurement organization to administer and/or execute this Contract.

  • Seller’s Group means the Seller and any company which is, on or after the date of this Agreement, a subsidiary or holding company of the Seller or a subsidiary of a holding company of the Seller, and excludes, for the avoidance of doubt, any Group Company, and "Seller's Group Company" shall be construed accordingly.

  • Subcontractor employee, as used in this clause, means any officer, partner, employee, or agent of a subcontractor.

  • Double check valve assembly means an assembly composed of two single, independently acting, check valves including tightly closing shutoff valves located at each end of the assembly and suitable connections for testing the water tightness of each check valve.
