Transaction Finance Documents definition

Transaction Finance Documents means the Finance Documents and the Hedging Agreements (each a “Transaction Finance Document”).

  • No past, present or future director of any Guarantor, as such, shall have any liability to the Lenders or the Holders by reason of the provision by such Guarantor of its Guarantee of, or Collateral for, amounts outstanding under the Transaction Finance Documents or for any claim based on, in respect of, or by reason of, such obligations or security or their creation.

  • Notwithstanding any other obligations and commitments contained in the Finance Documents, the Obligors throughout the term of the Finance Documents, hereby undertake to apply for and take all measures that may be necessary or convenient for the obtainment of the Judicial Approval of the Restructuring Agreement and the Transaction Finance Documents and the transactions contemplated therein, all of the foregoing in accordance with the Spanish Insolvency Act and the Restructuring Agreement.

  • If the Chargor receives any sum which, pursuant to any of the Transaction Finance Documents, should have been paid to the Security Trustee, that sum shall promptly be paid to the Security Trustee for application in accordance with this Clause 9 (Application of Proceeds).

  • Finance Documents means these Terms and Conditions, the Agency Agreement and any other document designated by the Issuer and the Agent as a Finance Document.

  • Reference Documents means the documents provided with and so designated in the RFP. The Reference Documents, including Plans contained therein and/or so designated, are not Contract Documents and were provided to the Design-Builder for informational purposes only and are relied upon at the Design-Builder’s own risk.

  • Governance Documents means any articles of incorporation, corporate by-laws, limited liability company operating agreement, shareholder agreements, membership and partnership agreements and other similar organizational documents of a Person, together with any applicable charters, codes of conduct, governance guidelines and other similar documents setting forth policies and practices relating to the management and governance of such Person.

  • Second Lien Note Documents means the Second Lien Note Indenture, the Second Lien Notes, the Second Lien Security Documents and each other document, instrument or agreement relating to the issuance of the Second Lien Notes, as the same may be amended, restated, supplemented, waived and/or otherwise modified from time to time in accordance with the terms thereof, of this Agreement and of the Intercreditor Agreement.

  • Finance Document means this Agreement, any Fee Letter, any Accession Letter, any Resignation Letter and any other document designated as such by the Agent and the Company.

  • Bridge Loan Documents means the “Loan Documents” as defined in the Bridge Credit Agreement.

  • Debt Financing Documents means the agreements, documents and certificates contemplated by the Financing, including all credit agreements, loan documents, purchase agreements, underwriting agreements, indentures, debentures and notes pursuant to which the Financing will be governed or contemplated by the Debt Commitment Letter.

  • Senior Credit Documents means the collective reference to the Credit Agreement, the notes issued pursuant thereto and the guarantees thereof, and the collateral documents relating thereto, as amended, supplemented or otherwise modified from time to time.

  • Facility Documents means this Agreement, the Notes, the Account Control Agreement, the Sale Agreement, the Administrative Agent Fee Letter, the Lender Fee Letter, the Collateral Administration and Agency Fee Letter and any other security agreements and other instruments entered into or delivered by or on behalf of the Borrower in favor of the Collateral Agent, the Administrative Agent or any Lender from time to time pursuant to this Agreement.

  • Financing Documents means collectively the documents evidencing Lenders’ commitment to finance the Project.
