Transferred Personnel definition

Transferred Personnel means (i) the Employees who are automatically transferred to the Purchaser Group effective as of the Closing by operation of Applicable Law; (ii) the Contractors who are automatically transferred to the Purchaser Group effective as of the Closing by operation of the Purchaser Group acquiring the Subsidiaries directly contracting with such Contractors; and (iii) Offered Personnel that accept an offer for employment/engagement from the Purchaser Group;

Transferred Personnel means the Potential Transferred Personnel who accept employment with, or are engaged as independent consultants by, or who transfer pursuant to TUPE Regulations to, the Buyers or a Buyer Affiliate at or following Closing.

Transferred Personnel means the personnel who accept WVAWC’s offer of employment and commence employment on the Closing Date.

• The AUTHORITY shall provide each of the Transferred Personnel compensation and benefits which are at least substantially comparable to, in the aggregate, to TOWNSHIP’s compensation and benefits as of the Settlement (including paid vacation and sick time benefits).

• Transferred Personnel shall be considered to be under the direction and control of the Receiving LTC Facility from time of arrival thereto and through the duration of their assignment.

• The obligation of any Receiving LTC Facility to reimburse any Lending Facility for the services of Transferred Personnel that was incurred under this MAA, if not satisfied, shall survive the termination of this MAA.

More Definitions of Transferred Personnel

Transferred Personnel has the meaning specified in Section 7.03(a). “UCC Search” has the meaning specified in Section 6.04.

Transferred Personnel shall include all Persons listed in the Reviewer Database.
