Transition Marks definition

Transition Marks means those Palm Marks that are used by PalmOne pursuant to the terms of this Agreement, from the Separation Date through the date set forth in Section 3 of this Agreement with respect to each such xxxx. Transition Marks include only (a) the marks PALM (as limited by the license grant in Section 3.10), XXXX.XXX, PALM CAFE, PALM STORE, DESIGNED FOR PALM HANDHELDS, PALM SOFTWARE CONNECTION; and (b) the marks XXX XXX, PALM XXX XXX and XXX XXX with Design (the “XXX XXX Transition Marks), and other marks, all as shown on Schedule 5.

Examples of Transition Marks in a sentence

  • Licensee, at Holding’s request, agrees to be joined as a party (and hereby irrevocably waives objection to any such joinder) or appear as a witness in any Action taken by Holding to enforce its rights in the Palm Marks, the Transition Marks or the PalmOne Brand.

  • Licensee recognizes the need to protect and guard the goodwill of the PalmOne Brand, Palm Marks and the Transition Marks.

  • Upon expiration of the Transition Period, Buyers and their Affiliates shall cease all further use of the Transition Marks.

  • All products and services on or in connection with which the PalmOne Brand and the Transition Marks are used shall be consistent with the Quality Standards.

  • Licensee shall be solely responsible for all costs, fees and expenses incurred for the clearance, registration, maintenance, sublicensing and recordals for all PalmOne Brands and Transition Marks (other than PALM (as limited by the license grant in Section 3.10)).

  • Except for express payment obligations under this Agreement (including payments relating to Actions, Claims and Enforcements arising from use of the Palm Marks, Transition Marks or the PalmOne Brand that is not in accordance with the terms of this Agreement), in no event shall either party’s total cumulative liability arising out of or relating to this Agreement exceed ten million dollars ($10,000,000).

  • All goodwill associated with the use of such Transition Marks shall inure to the benefit of Seller.

  • Upon termination or expiration of this Agreement, all rights and licenses granted herein by VSI (and its Affiliates) to SpinCo will immediately terminate and SpinCo (and its Affiliates) shall cease all uses of the VSI Transition Marks and the VSI Other Marks to the extent such uses are within the control of SpinCo or its Affiliates.

Transition Marks means all Marks used by Seller or Mentor Medical Limited in the U.K. that use or contain the letter string “MENTOR” prior to the Closing in connection with the distribution and sale of SMECs by Mentor Medical Limited which are affixed as of the Closing to the Transition Products.

Related to Transition Marks

  • Licensed Marks means those MLS GRID and MLS trademarks, service marks, word marks, logos and distinctive marks of all other kinds, if any, set out in Exhibit A as Licensed Marks.

  • Transition Services means a coordinated set of activities for a child with a disability that:

  • Proprietary Marks shall have the meaning as set forth in Section 24.01.

  • Licensed Trademarks means the trademarks, service marks, trade dress, logos and other icons or indicia designated by SCEA in the SourceBook 2 or other Guidelines for use on or in connection with Licensed Products. Nothing contained in this Agreement shall in any way grant Publisher the right to use the trademark "Sony" in any manner. SCEA may amend such Licensed Trademarks from time to time in the SourceBook 2 or other Guidelines or upon written notice to Publisher.

  • Transition Services Agreement means the transition services agreement substantially in the form attached hereto as Exhibit B.

  • Product Marks has the meaning set forth in Section 9.5.

  • Named User License means the Metric and Licensed Level applicable to each Named User.

  • Program Materials means the documents and information provided by the Program Administrator specifying the qualifying EEMs, technology requirements, costs and other Program requirements, which include, without limitation, program guidelines and requirements, application forms and approval letters.

  • Licensed Material means the artistic or literary work, database, or other material to which the Licensor applied this Public License.

  • Business Software means with respect to a Licensor, all Software to the extent Controlled by such Licensor or any of its Affiliates as of the Effective Date, which Software is reasonably required as of the Effective Date for the conduct of (i) the Agriculture Business if the Licensee is AgCo, including as listed on section (i) of Schedule Q, or (ii) the Materials Science Business if the Licensee is MatCo, including as listed on section (ii) of Schedule Q, in each case (in respect of the foregoing (i) and (ii)), only if and to the extent such Licensee and its Affiliates have not been granted a license or other rights to use such Software under the Separation Agreement or any other Ancillary Agreement. Notwithstanding the foregoing, Business Software expressly excludes any and all Excluded IP.

  • Seller Marks has the meaning set forth in Section 6.4.

  • Licensed User means an employee, contractor or agent of Client who is authorized by Client to access and use the Licensed Software, to whom a password and user ID has been issued by Client and whose access to the Licensed Software has not been terminated, suspended or surrendered.

  • Transition Services Agreements has the meaning set forth in Section 7.01(h).

  • End User License means any license terms imposed by any Third Party Vendor on Customers and End Users. “Force Majeure Event” means an event or occurrence:

  • Contractor attributional/proprietary information means information that identifies the contractor(s), whether directly or indirectly, by the grouping of information that can be traced back to the contractor(s) (e.g., program description, facility locations), personally identifiable information, as well as trade secrets, commercial or financial information, or other commercially sensitive information that is not customarily shared outside of the company.
