Unpaid Tooling definition

Unpaid Tooling means Tooling for which GM has not paid the applicable purchase order price for such Tooling to AAM, any of its predecessor(s)-in-interest, or to any third party on account or for the benefit of AAM, and (ii) “AAM Owned Tooling” means any Tooling that is neither Unpaid Tooling nor GM Owned Tooling.
Unpaid Tooling means Tooling manufactured for a Customer for which such Customer has not made full payment under the applicable Tooling purchase order with Supplier.
Unpaid Tooling means Tooling for which the applicable Consenting OEM has issued a Tooling Purchase Order and has not paid the applicable Tooling Purchase Order price in full. If a Consenting OEM or its designee pays the outstanding Tooling Purchase Order price for any item of Unpaid Tooling, such item will be Customer Tooling.

  • Once the purchase order price of an item of Unpaid Tooling has been paid by Customer or its affiliates, it will be included in the definition of Customer Tooling.

Unpaid Tooling means Tooling subject to a Customer Tooling Purchase Order for which the Customer has not made payment to a Debtor for the full price called for by the underlying Customer Tooling Purchase Order.2 "Tool Vendor" means a person or entity that manufactures, supplies, fabricates, repairs or modifies Tooling.3 “Molder” means a person or entity other than a Tool Vendor that is in possession of Tooling as of the date of this Order. 4 "Customer" means a customer which contracted with a Debtor for the manufacture or supply of Tooling or component parts manufactured using Tooling. the Bankruptcy Code), including claims of Tool Vendors, the DIP Lenders, and the Term Lender Parties.Upon the closing of those Assets Sales, certain of the Delivered Tooling5 will be transferred into the possession, custody or control of one of thePurchasers. In addition, pursuant to the terms of the various Asset Sales and certain Customer Tooling Purchase Orders6, certain of the Purchasers and Customers have theright to request the Debtor to seek, obtain and transfer possession of Undelivered Tooling7 to them.
Unpaid Tooling means Tooling for which GM has issued a purchase order and has not paid the applicable purchase order price. If GM or its designee, as the case may be, pays the amounts due and owing for any item of Unpaid Tooling, such item will be GM Tooling for all purposes under this Agreement. Within 30 days following the Partiesexecution of this Agreement, Supplier shall provide GM will a complete list of all GM Tooling.

  • Tooling means tooling inventory, including but not limited to dies, molds, tooling, casting patterns, gauges, jigs, racks and stands for engines, cowls, radome and wheels, aircraft jacks, test benches, test equipment, lathes, welders, grinders, presses, punches and hoists and other similar items (whether or not completed or fixed or handheld).

  • Analytical x-ray equipment means equipment used for x-ray diffraction or fluorescence analysis.

  • Embedded means the placement of transmission or distribution lines, pipes or cables into the bottom of surface waters by minimal displacement of bottom material and without the creation of a trench, or trough, through the use of techniques such as plowing-in, weighing-in, or non-trenching jets.

  • Computer Equipment means Covered Property that is electronic computer or other data processing equipment, including peripherals used in conjunction with such equipment, and electronic media and records.

  • Consumables means where the context permits, Digital Print Consumables, Inkjet Printing System Consumables and Prepress Consumables.

  • Unpaid Charges means any charges billed to the Non-Paying Party that the Non-Paying Party did not render full payment to the Billing Party by the Bill Due Date, including where funds were not accessible.

  • Stationary x-ray equipment means x-ray equipment which is installed in a fixed location.

  • Customer Equipment means hardware, software, systems, cabling and facilities provided by you and used in conjunction with the Equipment that we supply to you in order to receive the Services;

  • Supplier Equipment means the Supplier's hardware, computer and telecoms devices, equipment, plant, materials and such other items supplied and used by the Supplier (but not hired, leased or loaned from the Customer) in the performance of its obligations under this Call Off Contract;

  • Port Cargo Handling Equipment means rubber-tired gantry cranes, straddle carriers, shuttle carriers, and terminal tractors, including yard hostlers and yard tractors that operate within ports.

  • Consumable means any component of a good that is used up recurrently and needs to be replaced for the good to function as intended;

  • Redistribution Software means the software described in Paragraph 4 (“Use of Redistribution Software”) below.

  • embedded generator means a generator who is not a market participant and whose generation facility is connected to a distribution system of a distributor, but does not include a generator who consumes more electricity than it generates;

  • Associated equipment means equipment that is used in conjunction with a radiographic exposure device to make radiographic exposures that drives, guides, or comes in contact with the source, e.g., guide tube, control tube, control (drive) cable, removable source stop, “J” tube and collimator when it is used as an exposure head.

  • RAI MDS Tools means the standardized Resident Assessment Instrument – Minimum Data Set (“RAI MDS”) 2.0, the RAI MDS 2.0 User Manual and the RAI MDS Practice Requirements, as the same may be amended from time to time.

  • Recyclable Materials means materials that are separated from mixed municipal solid waste for the purpose of recycling or composting, including paper, glass, plastics, metals, automobile oil, batteries, source-separated compostable materials, and sole source food waste streams that are managed through biodegradative processes. Refuse-derived fuel or other material that is destroyed by incineration is not a recyclable material. (Minn. Stat. § 115A.03, Subd. 25a)

  • Fixed Equipment means any property affixed in any way to the Licensed Premises existing at the time Notice to Proceed is given, whose removal would damage the Licensed Premises.

  • Cost of materials means the cost of components, parts or materials which are intended for the production, manufacturing or assembling of the goods bid for and which are not produced, manufactured or assembled in the factory where the production, manufacture or assembly of such goods occurs, including freight, landing costs, port charges, import duties and other import costs of such components, parts or materials and all costs in connection with the handling and transport thereof prior to delivery at that factory;

  • Other Equipment is leasehold improvements, intangible property such as computer software and software licenses, equipment specifically designed or manufactured for Borrower, other intangible property, limited use property and other similar property and soft costs approved by Bank, including taxes, shipping, warranty charges, freight discounts and installation expenses.

  • Embedded Software means one or more software applications which permanently reside on a computing device.

  • Standard equipment means the basic configuration of a vehicle which is equipped with all the features that are required under the regulatory acts of the Contracting Party including all features that are fitted without giving rise to any further specifications on configuration or equipment level.

  • Firmware means software sold or licensed only in conjunction with machines, designed for execution only on a machine with which it is provided, designed only for machines other than a dedicated computer, and embedded into or installed on the machine by the machine’s manufacturer or seller.

  • Cost of the Work means costs necessarily incurred by the Construction Manager in the proper performance of the Work. Such costs shall be at rates not higher than those customarily paid at the place of the Project except with prior consent of the Owner. The Cost of the Work shall include only the items set forth in this Article 6.

  • Recovered materials means metal, paper, glass, plastic, textile, or rubber materials that have known recycling potential, can be feasibly recycled, and have been diverted and source separated or have been removed from the solid waste stream for sale, use, or reuse as raw materials, whether or not the materials require subsequent processing or separation from each other, but does not include materials destined for any use that constitutes disposal. Recovered materials as described above are not solid waste.
