Unvested Company Units definition

Unvested Company Units means Company Units that are not vested under the terms of any Contract with the Company or subject to forfeiture or a right of repurchase by the Company.

Examples of Unvested Company Units in a sentence

  • No Contract to which the Company is a party or by which the Company or any of its assets is bound relating to any Unvested Company Units requires or otherwise provides for any accelerated vesting of any Unvested Company Units or the acceleration of any other benefits thereunder, in each case in connection with the Transactions or upon termination of employment or service with the Company or Acquirer, or any other event, whether before, upon or following the Effective Time or otherwise.

  • RSUs means restricted stock units.

  • Restricted Share Units means an Award which may be earned in whole or in part upon the passage of time or the attainment of performance criteria established by the Administrator and which may be settled for cash, Shares or other securities or a combination of cash, Shares or other securities as established by the Administrator.

  • Restricted Shares shall have the respective meanings set forth in Section 2.14.

  • Parent Stock Plans has the meaning set forth in Section 4.5(a).

  • Company Restricted Stock Award means each award with respect to a share of restricted Company Common Stock outstanding under any Company Stock Plan that is, at the time of determination, subject to forfeiture or repurchase by the Company.

  • Units means the units of the Company, each comprised of one share of Common Stock and one-half of one Warrant.

  • Deferred Stock Units means the number of hypothetical Shares subject to an Election.

  • Parent Stock Plan has the meaning set forth in Section 6.2(a).

  • Deferred Shares means an award made pursuant to Section 7 of this Plan of the right to receive Common Shares at the end of a specified Deferral Period.

  • Company Share Plans means, collectively, (i) the 2018 Share Incentive Plan of the Company, which replaced the Company’s 2010 Share Incentive Plan in its entirety, and (ii) the Post-IPO Share Incentive Plan of the Company.

  • Class B Units means the Class B Units of the Company.

  • Vested Units means those Units listed as vested Units in the books and records of the Partnership, as the same may be amended from time to time in accordance with this Agreement.

  • Restricted Stock Units means an Award of stock units subject to such restrictions and conditions as the Administrator may determine at the time of grant.

  • Company Shares means the common shares in the capital of the Company;

  • Restricted Units has the meaning set forth in the recitals to this Award Agreement.

  • Incentive Units means those Partnership Interests described in Section 2 of the Incentive Unit Agreement.
