Unvested Share Repurchase Option definition

Unvested Share Repurchase Option shall have the meaning set forth in paragraph 5(a).
Unvested Share Repurchase Option means the term so defined in clause 3.3.1; and
Unvested Share Repurchase Option means the right of the Company to repurchase, upon the termination of Grantee’s Service, the Restricted Shares granted to Grantee as set forth in Section 4.2.

  • The Company shall have the right to assign the Unvested Share Repurchase Option at any time, whether or not such option is then exercisable, to one or more persons as may be selected by the Company.

  • While the aggregate Repurchase Price shall remain the same after such Ownership Change Event, the Repurchase Price per Unvested Share upon exercise of the Unvested Share Repurchase Option following such Ownership Change Event shall be adjusted as appropriate.

  • The Company shall pay the aggregate Repurchase Price to the Optionee in cash within thirty (30) days after the date of the written notice to the Optionee of the Company's exercise of the Unvested Share Repurchase Option.

  • As soon as practicable after the expiration of the Unvested Share Repurchase Option, but not more frequently than twice each calendar year, the escrow agent shall deliver to the Optionee the shares and any other property no longer subject to such restriction.

  • Repurchase Option has the meaning set forth in Section 1.3(a) hereto.

  • Purchase Option Price means the amount payable by a Lessee upon the exercise of its option to purchase a related 2018-1 Vehicle which amount equals (a) with respect to a Matured Vehicle, the Contract Residual Value plus any fees, taxes and other charges imposed in connection with such purchase and (b) with respect to a related 2018-1 Vehicle for which the related 2018-1 Lease has been terminated early by the Lessee, the sum of (i) any unpaid Monthly Payments due, (ii) any fees, taxes and other charges imposed in connection with the related 2018-1 Lease, (iii) an early termination fee and (iv) the Actuarial Payoff.

  • Optioned Shares means the shares of Common Stock that are issued pursuant to the exercise of the Options;

  • Unvested LTIP Units has the meaning provided in Section 4.4(d) hereof.

  • Founder Shares Lock-up Period means, with respect to the Founder Shares, the period ending on the earlier of (A) one year after the completion of the Company’s initial Business Combination and (B) subsequent to the Business Combination, (x) if the closing price of the Common Stock equals or exceeds $12.00 per share (as adjusted for stock splits, stock dividends, reorganizations, recapitalizations and the like) for any 20 trading days within any 30-trading day period commencing at least 150 days after the Company’s initial Business Combination or (y) the date on which the Company completes a liquidation, merger, capital stock exchange, reorganization or other similar transaction that results in all of the Company’s stockholders having the right to exchange their shares of Common Stock for cash, securities or other property.

  • Founder Shares shall have the meaning given in the Recitals hereto and shall be deemed to include the shares of Common Stock issuable upon conversion thereof.

  • Restricted Shares shall have the respective meanings set forth in Section 2.14.

  • Repurchase Right means the right granted to the Corporation in accordance with Article D.

  • Vested Options means the Options that have vested in accordance with Section 2.2 of this Agreement.

  • Restricted Stock Purchase Right means a right to purchase Stock granted to a Participant pursuant to Section 8.

  • Award Shares means Shares covered by an outstanding Award or purchased under an Award.

  • Vested Option means any Option, which has already been vested according to the Vesting Dates.

  • Incentive Share Option means an Option that is intended to meet the requirements of Section 422 of the Code or any successor provision thereto.

  • Purchase Option Notice As defined in Section 3.18(e).

  • Management Shares means a management share in the capital of the ICAV which shall have the right to receive an amount not to exceed the consideration period for such Management Share.

  • RSU Shares means shares of Common Stock that underlie an RSU.
