Vendor Group Company definition

Vendor Group Company means any one of them.

Vendor Group Company means the Vendor, the Warrantor, any holding company from time to time of the Vendor (including the Warrantor) and any subsidiary from time to time of the Vendor or any of its holding company (but excluding the Purchaser, any of the Purchaser’s subsidiaries, and the Target Group); and

Vendor Group Company means Unicom Group, any subsidiary from time to time of Unicom Group (but excluding the Purchaser, the subsidiaries of the Purchaser from time to time and the Target Group Companies); and

• None of the operations of the Target Company infringe, or are likely to infringe, any rights held by any third party or involve the unauthorised use of confidential information disclosed to the Target Company (or any Vendor Group Company) in circumstances which might entitle a third party to make a claim against the Target Company.

• The particulars of all Employees annexed to the Disclosure Letter show the name of the relevant Vendor Group Company that employs them, the job title, date of commencement of employment, type of contract (whether full or part-time or other) and date of birth of every Employee.

• Certificate of Limited Liability Interest of Xxxxx L.L.C., signed by its sole member, the Vendor Group Company, Teekay Holdings Limited, and duly endorsed by its sole member for transfer to the Purchaser or to its direction.

• In the event that the Vendor assigns or transfers any of its rights under this clause to a Vendor's Transferee and that Vendor's Transferee ceases to be a Vendor's Group Company, the Vendor's Transferee shall forthwith assign or transfer such rights to a company who is a Vendor Group Company.

• Where the relevant Target Group Commercial Contract is for the supply of goods and/or services to the Purchaser and the contract so permits, the Purchaser shall make available to the Vendor or any such Vendor Group Company on the terms and conditions of such contract, such goods and/or services as have been provided to the Purchaser.

• None of the operations of any Target Company infringe, or are likely to infringe, any rights held by any third parry or involve the unauthorised use of confidential information disclosed to any Target Company (or any Vendor Group Company) in circumstances which might entitle a third party to make a claim against a Target Company.

• None of the operations of any Target Company infringe, or are likely to infringe, any rights held by any third party or involve the unauthorised use of confidential information disclosed to any Target Company (or any Vendor Group Company) in circumstances which might entitle a third party to make a claim against a Target Company.

• Pending any such assignment and transfer, the Purchaser shall hold the benefit, if any, of any such Target Group Commercial Contracts on trust for Vendor or the relevant Vendor Group Company, absolute and exercise all rights in respect of them for and on behalf of the Vendor or the relevant Vendor Group Company as the Vendor or the relevant Vendor Company may reasonably request.
