Vendor Products definition

Vendor Products means any software, service, code, application, website or other product offered by Vendor from time to time to its customers (or any component or feature of such product).
Vendor Products means the products listed in Schedule "A" hereto, including all upgrades and enhancements thereto accepted (as provided in Section 8.1)
Vendor Products exclude all Licensed Products set forth on Exhibit A as of the Effective Date other than the Res-Q 3400 Centrifuge and Res-Q Cart System). ThermoGenesis shall make good faith efforts to obtain such notice rights from the vendors of the Vendor Products. In the event that ThermoGenesis is unable to secure the notice rights from such vendors, then BioParadox shall have the right to independently source such Vendor Products. If BioParadox elects to independently source such Vendor Products, then ThermoGenesis shall provide any specifications or other information owned by ThermoGenesis with regard to such vendor Products, to the extent that such information may legally be disclosed and is not subject to nondisclosure, confidentiality or other legal restrictions. Any Res-Q Technology that is not a Licensed Product set forth on Exhibit A shall be available for supply to BioParadox under this Agreement only if ThermoGenesis or its Affiliates produces or sells such Licensed Products to Third Parties. Notwithstanding the foregoing, ThermoGenesis is not required to expand the Licensed Products it produces beyond those set forth on Exhibit A

Examples of Vendor Products in a sentence

  • If the Integration involves placement of Vendor Products (or portions thereof) on DDC websites, then as between the Parties, DDC shall determine the location of such placements, including the particular pages of the DDC websites that may include Vendor Products.

  • As between DDC and Vendor, Vendor owns all right, title and interest in the Vendor Products, and any Modifications thereto.

  • Vendor will be solely responsible for any taxes or other assessments imposed by governmental authorities or any other costs Vendor may incur in connection with the Integration or the Vendor Products.

  • Vendor acknowledges that DDC may now or in the future provide products and services that may be substantially similar or the same as the Vendor Products.

Vendor Products includes all products offered and listed by Vendor for pick-up or delivery orders at Vendor Stores.
