Vendor Technology definition

Vendor Technology means all of Vendor’s proprietary technology (including software, hardware, products, processes, algorithms, user interfaces, know-how, techniques, designs, and other tangible or intangible technical material or information) made available to Customer by Vendor in providing the Service.
Vendor Technology means virtual tour images and software and hardware used to capture, process and view the virtual tour images.
Vendor Technology means all proprietary technology (including the proprietary software products identified as Dynamo™, PEView™, Preqin Solutions ™, and any other proprietary software, hardware, products, processes, algorithms, user interfaces, know-how, techniques, designs and other tangible or intangible technical material or information) of Vendor or its Affiliates or licensors made available to You by Vendor in providing the Service;

Examples of Vendor Technology in a sentence

  • To the extent that any Vendor Technology is contained in any of the Deliverables including any derivative works, the Vendor hereby grants the State a royalty-free, fully paid, worldwide, perpetual, non-exclusive license to use such Vendor Technology in connection with the Deliverables for the State’s purposes.

  • To the extent that any Vendor Technology is contained in any of the Deliverables, the Vendor hereby grants the State a royalty-free, fully paid, worldwide, perpetual, non-exclusive license to use such Vendor Technology in connection with the Deliverables for the State’s internal business purposes.

Vendor Technology means all proprietary technology (including as identified in an Order Form, and any other software, hardware, networks, systems, products, processes, algorithms, data, user interfaces, know-how, techniques, designs, requirements, plans, and other tangible or intangible technical material or information) of Vendor or its Affiliates or licensors made available to, or otherwise utilized by Vendor or its Affiliates to perform Vendor’s obligations for, Customer, Customer’s Affiliates, or any of their respective Users in connection with this Agreement, including any Modifications thereto. Exhibit 2: Dynamo Support Agreement This Dynamo Support Agreement supplements the Master Terms and is a part of the Agreement between Customer and Vendor, and it describes the Support and Maintenance to be provided by Vendor in connection with the Service.
Vendor Technology means the Licensed Programs and any improvements, modifications, enhancements thereto or derivative works thereof, including but not limited to Customizations and Enhancements thereto, and Documentation and any other works of authorship, materials, information and other intellectual property created by Vendor or its subcontractors including improvements, modifications, enhancements thereto or derivative works thereof, or created by Vendor or its subcontractors as a general consulting tool for their use in performing the services hereunder, plus any modifications or enhancements thereto and derivative works based thereon.

Vendor Technology refers to any proprietary technology of Automatic or any Other Vendor that is made available for Your use under this Agreement. "We", "Us", "Our" means emovis technologies US, Inc., a Delaware corporation with its principal place of business in Westbury, New York (“emovis”). Neither the Washington State Transportation Commission, the State of Washington, nor any of its consultants, agents or assignees are a party to this Agreement.

Vendor Technology means Vendor’s proprietary technology, including Vendor Services, software tools, hardware designs, algorithms, software (in source and object forms), user interface designs, architecture, class libraries, objects and documentation (both printed and electronic), network designs, know-how, trade secrets and any related intellectual property rights throughout the world (whether owned by Vendor or licensed to Vendor from a third party) and also including any derivatives, improvements, enhancements or extensions of Vendor Technology conceived, reduced to practice, or developed during the term of this MSA by either party that are not uniquely applicable to Customer or that have general applicability in the art.
