Verification Agent Agreement means the Amended and Restated Verification Agent Agreement, dated as of May 6, 2021, by and among the Verification Agent, the Borrower, the Facility Administrator and the Administrative Agent, as amended, restated, modified and/or supplemented from time to time in accordance with its terms.
