Verification Reports means the reports to be prepared by the independent third- part verifier(s) referred to in Section I.C of this Schedule 2 of this Agreement and to be engaged by the Issuer (“Verification Agent”), showing the achievement of the estimated rhino growth at the Targeted Protected Areas as per the CAGR set out in Section III.B.1(b) of Schedule 2 of this Agreement. Conservation Success Payments are not dependent upon delivery of Verification Reports by the Verification Agent upon the occurrence of a Verification Agent Replacement Event as defined in the Wildlife Conversation Bonds.
