Vesting Shares definition

Vesting Shares has the meaning set forth in Section 1.
Vesting Shares means the shares of Class B Stock (and following the consummation of the Business Combination, the shares of Class A Stock) that are subject to restrictions under the Sponsor Support Agreement.
Vesting Shares means the shares of Common Stock held by each Stockholder on the date hereof and any Shares acquired in the future in respect of such Shares by reason of any stock split, stock dividend, recombination or similar event.

  • The Company shall be relieved from any obligation to provide Participant with Retirement Acceleration or the Continued Vesting Shares.

  • Vesting Shares that have vested and are no longer subject to forfeiture according to the vesting schedule set forth in the Grant Notice are referred to herein as “Vested Shares.” Shares that are not vested and remain subject to forfeiture under the preceding schedule are referred to herein as “Unvested Shares.” The Unvested Shares will vest (and to the extent so vested cease to be Unvested Shares remaining subject to forfeiture) in accordance with the vesting schedule set forth in the Grant Notice.

  • In addition, Participant agrees that if he violates the terms of this Section or if the terms of this Section are determined to be unenforceable by any court of competent jurisdiction, Participant shall forfeit and not be entitled to receive Retirement Acceleration or the Continued Vesting Shares herein.

  • If Participant has already received the Retirement Acceleration or the Continued Vesting Shares, Participant agrees that he shall repay the Company the value of the Retirement Acceleration or the Continued Vesting Shares on the date it was received by Participant upon five (5) days written notice.

  • For the avoidance of doubt, no Performance Vesting Shares shall be forfeited on or in connection with a Measurement Date that is not a Deemed Sale or a Change in Control.


More Definitions of Vesting Shares

Vesting Shares means 110,404 shares of the Common Stock acquired by Executive and any shares of Common Stock acquired by Executive pursuant to Section 6(d) of the Stockholders Agreement.

Vesting Shares means the number of shares of Parent Common Stock equal to the quotient of (x) $130,000,000 divided by (y) the Trading Price.
Vesting Shares means all Contingent Shares held by a Vesting Stockholder that are subject to the vesting schedule for such Vesting Stockholder set forth in Exhibit B. “Vested Shares” means Vesting Shares that have vested under their applicable vesting schedule for such Vesting Stockholder set forth in Exhibit B. “Unvested Shares” means Vesting Shares that have not vested under their applicable vesting schedule for such Vesting Stockholder set forth in Exhibit B. Other capitalized terms defined elsewhere in this Agreement and not defined in this Article 1 will have the meanings assigned to such terms elsewhere in this Agreement.
Vesting Shares means (i) the Base Vesting Shares plus (ii) the Earn-Out Vesting Shares.
