The Company shall not be under any obligation to renew, repair or replace any inadequate, obsolete, worn out, unsuitable, undesirable or unnecessary portions of the Project Facilities, except that, subject to Section 5.4 hereof, it will use its best efforts to ensure the continued character of the Project Facilities as Pollution Control Facilities or Solid Waste Disposal Facilities.
The Company shall also have the right to remove any portion of the Project Facilities, without substitution therefor; provided, that the Company shall deliver to the Trustee a certificate signed by an Engineer describing said portion of the Project Facilities and stating that the removal of such property or fixtures will not impair the character of the Project Facilities as Pollution Control Facilities or Solid Waste Disposal Facilities.
Buyers shall use their commercially reasonable efforts to notify Seller of any material change to the Solid Waste Disposal Facilities or the Pollution Control Facilities or any material suspension or any termination of the operation of the Solid Waste Disposal Facilities or the Pollution Control Facilities due to a casualty event, condemnation or force majeure event within a reasonable time after the occurrence of such change, suspension or termination of operation.
For purposes of foregoing provisions of this subsection (v) the portion of the proceeds used to finance the costs of issuing the 2007 Series A Bonds, including underwriter’s discount or underwriting compensation, is not considered used to provide Solid Waste Disposal Facilities.
The Project as amended is comprised of the following Solid Waste Disposal Facilities and Pollution Control Facilities constructed and installed in connection with the following Generating Stations.
The Company shall use its best efforts to keep and maintain the Project Facilities, including all appurtenances thereto and any personal property therein or thereon, in good repair and good operating condition so that the Project Facilities will continue to constitute Pollution Control Facilities or Solid Waste Disposal Facilities, for the purposes of the operation thereof as required by Section 5.4 hereof.

The Bonds shall be designated "Mississippi Business Finance Corporation Solid Waste Disposal Facilities Revenue Refunding Bonds, Series 1998 (Mississippi Power Company Project)." The total principal amount of Bonds that may be outstanding shall not exceed $_________.
The Bonds shall be designated “The City of Grand Island, Nebraska Solid Waste Disposal Facilities Revenue Bonds (Microgy Grand Island, LLC Project) Series 2008.” Unless otherwise directed by the Issuer, the Bonds shall be numbered from R-1 upward, unless otherwise determined by the Trustee.
