Western Parties definition

Western Parties means Western Refining Company, L.P. and Western Refining Southwest, Inc. and any of either or their Subsidiaries. “Western Party” means any of the Western Parties.

Examples of Western Parties in a sentence

  • All notices to be sent to a Party pursuant to this Agreement shall be sent to or made at the address set forth below such Party’s signature to this Agreement or at such other address as such Party may stipulate to the other Parties in the manner provided in this Section 3.2.   • Western agrees, and agrees to cause the Western Parties, never to challenge, contest or question the validity of the Partnership’s ownership of the WNRL Marks or any registration thereof by the General Partner or the Partnership.

  • The Services shall be substantially similar in nature, quality and scope to the services of each such type previously provided by the Western Parties in connection with their management and operation of the Business and Assets prior to the contribution thereof to the Partnership.

  • General as to Criminal Claims, or Claims or Defenses of Enron as to Western Parties.

  • Western, on behalf of itself and the Western Parties, acknowledges that the use of the WNRL Marks shall not create any right, title or interest in or to the WNRL Marks, and all use of the WNRL Marks by Western or any of the Western Parties shall inure to the benefit of the General Partner and the Partnership.

  • Parent Parties has the meaning set forth in ARTICLE V.

  • SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”

  • Holding Entities means the subsidiaries of the Infrastructure Partnership, from time to time, through which it indirectly holds all of the Partnership’s interests in the operating entities.

  • Related Entities means contractors and subcontractors of a Party at any tier; grantees, investigators, customers, and users of a Party at any tier and their contractors or subcontractor at any tier; or, employees of the Party or any of the foregoing.

  • Holding Companies means, collectively, the Company and Holdings, and each is a “Holding Company”.

  • PJM Entities means PJM, including the Market Monitoring Unit, the PJM Board, and PJM’s officers, employees, representatives, advisors, contractors, and consultants. PJM Interchange:

  • Seller Entities means, collectively, Seller and all Seller Subsidiaries.

  • Partnership Entity means any of the Partnership Entities.

  • MLP GP means any general partner of any MLP and any general partner of the general partner of any MLP.

  • WCA means the Workers Compensation Act (British Columbia) and the regulations thereunder.

  • Acquisition Sub shall have the meaning set forth in the Preamble.

  • Transaction Parties As defined in Section 5.3(o).

  • Concert Parties means such persons as are deemed to be Acting in Concert with Mediahuis or INM (as the context so requires) pursuant to Rule 3.3 of Part A of the Takeover Rules, and such persons as are Acting in Concert with that party;

  • Company Entities means the Company and its Subsidiaries.

  • Spinco Subsidiaries means all direct and indirect Subsidiaries of Spinco immediately following the Contribution.
