Western Parties definition

Western Parties means Western Refining Company, L.P. and Western Refining Southwest, Inc. and any of either or their Subsidiaries. “Western Party” means any of the Western Parties.

  • This Agreement has been duly authorized, executed and delivered by each of the Western Parties.

  • Each Underwriter and the Western Parties (each on its own behalf and, to the extent permitted by applicable law, on behalf of its equity owners and affiliates) waive all right to trial by jury in any action, proceeding or counterclaim (whether based upon contract, tort or otherwise) in any way arising out of or relating to this Agreement.

  • Western agrees, on behalf of itself and the Western Parties, that ownership of the WNRL Marks and the goodwill relating thereto shall remain vested in the Partnership, for the benefit of the Partnership, during the term of the WNRL License and thereafter.

  • All notices to be sent to a Party pursuant to this Agreement shall be sent to or made at the address set forth below such Party’s signature to this Agreement or at such other address as such Party may stipulate to the other Parties in the manner provided in this Section 7.2.   • Parent Parties means Parent and Merger Sub.

  • Partnership Parties has the meaning assigned to such term in the preamble.

  • Operating Companies shall have the meaning specified in the recitals to this Agreement.

  • Partnership Entities means the General Partner and each member of the Partnership Group.

  • Operating Company means an “operating company” within the meaning of 29 C.F.R. §2510.3-101(c) of the Plan Asset Regulations.

  • Seller Parties has the meaning set forth in the preamble to this Agreement.

  • Company Parties means the collective reference to Holdings and its Restricted Subsidiaries, including the Borrower, and “Company Party” means any one of them.

  • Atlas means Automated Transportation Logistics Activity System. ATLAS is a computerized information system to which all Shippers have access upon request. ATLAS enables Shippers to nominate and release product and to monitor and coordinate the movement of Petroleum Products while on Carrier's system.

  • Operating Partnership has the meaning set forth in the preamble.

  • Parent means a "parent corporation," whether now or hereafter existing, as defined in Section 424(e) of the Code.

  • SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”

  • Holding Entities means the subsidiaries of Brookfield Renewable Energy L.P., from time to time, through which it indirectly holds all of the Partnership’s interests in the Operating Entities.

  • Related Entities means contractors and subcontractors of a Party at any tier; grantees, investigators, customers, and users of a Party at any tier and their contractors or subcontractor at any tier; or, employees of the Party or any of the foregoing.

  • Holding Companies means, collectively, the Company and Holdings, and each is a “Holding Company”.

  • The Parents /"You" means any person who has signed the Acceptance Form and/or who has accepted responsibility for a child's attendance at this School. Parents are legally responsible, individually and jointly, for complying with their obligations under these Terms and Conditions. Those who have "parental responsibility" (i.e. legal responsibility for the child) are entitled to receive relevant information concerning the child unless a court order has been made to the contrary, or there are other reasons which justify withholding information to safeguard the interests and welfare and best interests of the child.

  • PJM Entities means PJM, including the Market Monitoring Unit, the PJM Board, and PJM’s officers, employees, representatives, advisors, contractors, and consultants.

  • Seller Entities means the Seller and its affiliates other than the Buyer Entities;

  • Partnership Entity means any of the Partnership Entities.

  • MLP GP means any general partner of any MLP and any general partner of the general partner of any MLP.

  • WCA means the Workers Compensation Act (British Columbia) and the regulations thereunder.

  • Acquisition Sub shall have the meaning set forth in the Preamble.

  • Concert Parties means such persons as are deemed to be Acting in Concert with Mediahuis or INM (as the context so requires) pursuant to Rule 3.3 of Part A of the Takeover Rules, and such persons as are Acting in Concert with that party;

  • Company Entities means the Company and the Company Subsidiaries.

  • Spinco Subsidiaries means all direct and indirect Subsidiaries of SpinCo, after giving effect to the Reorganization.

  • Buyer Entities means, collectively, Buyer and all Buyer Subsidiaries.

  • PRC Entities means the PRC Subsidiaries and the Consolidated Affiliated Entities collectively.
