Xxxx Note definition

Xxxx Note means the amounts outstanding under any and all notes and other instruments that are due and payable to any of the Xxxx Lenders, including, without limitation, under the note dated as of December 21, 2021 payable by Borrower to one or more of the Xxxx Lenders which amended and restated that certain $22,000,000 original principal amount note, dated as of September 21, 2020.

Xxxx Note means that certain $200.0 million aggregate principal amount unsecured subordinated exchangeable promissory note of Borrower issued to EGI-TRB, L.L.C., its Permitted Transferees and/or any senior employee of Equity Group Investments, L.L.C. or of any direct or indirect Affiliates thereof.

Xxxx Note shall have the meaning set forth in Section 3.3 hereof.

Examples of Xxxx Note in a sentence

• Other than the right to receive and collect (i) royalties and (ii) proceeds received in prepayment of the Xxxx Note, Purchaser will retain all other rights and obligations under the Sale and License Agreements.
