Miscellaneous. No variations or amendments to these GTC shall be binding unless agreed by written notice by Mondi. This written form requirement shall in particular apply to any variation or amendment of this clause. Any of Mondi’s contractual obligations may be fulfilled by any of its Affiliates and auxiliary persons. The Customer must not assign any of its rights or have its obligations assumed without Mondi’s prior consent by written notice. Mondi may assign its rights to and have its obligations assumed by to an entity of the Mondi Group; Customer hereby grants its irrevocable approval for such assignment and assumption. If any part of any provision of these GTC is deemed illegal, void or unenforceable, it shall be deemed severed from the remainder of these GTC which shall remain in force. No waiver of any provision by Mondi shall be deemed a waiver of any subsequent breach by the Customer. All written notices to be given or delivered by a party to the other party shall be signed by persons duly authorised to sign on behalf of the party, and shall be deemed to have been given to such other party (i) by wet signature and only when mailed to such other party by registered mail, return receipt requested and postage prepaid, or (ii) by using secure and advanced electronic signature. The Hungarian version of this GTC or any Contract related to them shall prevail over the English version.

Miscellaneous. 1. Payments: (a) Az Adós által fizetendő összegek a jelen Szerződésben meghatározott esedékességük napján, a jelen Szerződéseben meghatározott pénznemben és módon teljesítendők. (b) Az Adós a jelen Szerződés alapján teljesítendő bármely fizetési kötelezettsége esedékessége napján köteles az esedékes összeget legkésőbb 15 óráig (budapesti idő szerint), a Bank rendelkezésére bocsátani, a jelen Szerződésre való hivatkozással. (c) Abban az esetben, ha a jelen Szerződés szerinti valamely kötelezettség teljesítésének a jelen Szerződésben meghatározott esedékességi napja nem-Banki Munkanapra esik, az egyébként azon a napon teljesítendő kötelezettséget a nem-Banki Munkanapot követő Banki Munkanapon kell teljesíteni, kivéve, ha ez a nap a következő hónapba esne, amely esetben a teljesítés napja a nem-Banki Munkanapot közvetlenül megelőző Banki Munkanap.

Miscellaneous. 18.1. The rest of the contract remains binding even if some of its provisions are legally invalid. 18.2. The Parties agree to designate a court of law with jurisdiction in Budapest as the competent judicial forum for the settlement of all disputes arising directly or indirectly from the contractual relationship. 18.3. The contractual relations between the Parties shall be governed by Hungarian law. 18.4. In the event of any discrepancy between the English and the Hungarian General Terms and Conditions, the Hungarian provisions shall prevail.

Miscellaneous. 9.1 This Agreement constitutes the entire understanding between the Contracting Parties and supersedes any and all prior or contemporaneous understandings and agreements, whether oral or written, between the parties, with respect to the subject matter hereof. This Agreement may only be amended in writing by mutual consent of the Parties. 9.2 If any provision of this Agreement is declared illegal, invalid or ineffective by any court, the provisions not affected thereby shall continue to be in force. 9.3 The official language of the present agreement is English. In case of conflict between the Hungarian and English versions of this agreement, the latter shall prevail. 9.4 This Agreement shall be governed by the law of Hungary. Contracting Parties shall endeavour to amicably settle any dispute arising between them, and upon failure to do so, the dispute shall be settled in court. With regard to any possible judicial proceedings, the Contracting Parties stipulate the exclusive jurisdiction of the District Court of Szeged or the Szeged Regional Court, depending on the value of the object in dispute. 9.5 This Agreement consists of a total of… numbered pages and made in …. same original copies.

Miscellaneous. Provider and Operator do not assume any responsibility for incidental, indirect or consequential damages (including, without limitation, damages occurring as a result of interruption of business activity or loss of business information, lost profit, etc.). Neither party shall be responsible for complying with their contractual obligations in case of unforeseeable circumstances (force majeure) which fall outside of both parties’ or the respective party’s sphere of interest in connection with fulfilment, and which prevent the performance of the services set out in these Conditions. Such circumstances may include in particular: acts of war, rebellion, sabotage, terrorist bombings; natural disasters, strikes, as well as any measures taken by the respective country’s authorities, which impact the fulfilment of these Conditions. The discount provided under these Conditions cannot be combined with any other special offer, advertisement or contract, unless an agreement between the Provider and the Operator states otherwise.
