Common use of ADDITIONAL INFORMATION Clause in Contracts

ADDITIONAL INFORMATION. Since this is a public offering under the automatic registration procedure, the Offer shall be subject to registration by ANBIMA, pursuant to article 20 of the "ANBIMA Code of Regulations and Best Practices for the Structuring, Underwriting, and Distribution of Public Offers of Securities and Public Offers for the Acquisition of Securities", in force since January 2, 2023, within fifteen (15) days of the sending of the closing announcement of the Offer, pursuant to article 76 of CVM Resolution 160. THE DEBENTURES WILL BE OFFERED EXCLUSIVELY TO: (I) SHAREHOLDERS, WITHIN THE SCOPE OF THE PRIORITY OFFER, DUE TO THE CONVERTIBILITY OF THE DEBENTURES; AND (II) PROFESSIONAL INVESTORS, WITHIN THE SCOPE OF THE OFFER; THEREFORE, WITH THE EXEMPTION OF DISCLOSURE OF THE PROSPECTUS, SLIDE, AS PERMITTED UNDER THE TERMS OF ARTICLE 9, SUBSECTION I, AND 23, PARAGRAPH 1, OF CVM RESOLUTION 160, AND THE COMPANY SHALL NOT RESUBMIT ITS REFERENCE FORM ON THE OCCASION OF APPLICATION FOR REGISTRATION OF THE OFFER, SUBJECT TO ARTICLE 25, PARAGRAPH 6, OF CVM RESOLUTION No. 80, OF MARCH 29, 2022, AS AMENDED. The Offer is unsuitable for investors who are not Professional Investors, with the exception of the Shareholders under the Priority Offer. The decision to invest in the Debentures requires experience and specific knowledge of the Company's sector, which allows the investor to conduct a detailed analysis of the Company's business, its market, and the risks inherent in its business, which may even result in full loss of the amount invested. Shareholders and Professional Investors interested in participating in the Offer are recommended to consult their lawyers, accountants, financial advisors, and other professionals they deem necessary in order to assist them in assessing the risks inherent in the Company's business and in investing in the Debentures. In addition, investment in the Debentures represents a risky investment, given that it is an investment in a hybrid fixed-income security with a variable-income component, and thus Shareholders and Professional Investors who intend to invest in the Debentures are subject to equity losses and risks, including those related to the Debentures, the Company, the sector in which the Company operates, the Shareholders, and the macroeconomic environment in Brazil, which should be carefully considered before making an investment decision. Investment in hybrid fixed-income securities with a variable-income component is therefore not suitable for Shareholders and Professional Investors who are averse to risks related to capital market volatility or liquidity. This Material Fact should not, under any circumstances, be considered as a recommendation to invest in the Debentures. When deciding to invest in the Debentures, the Shareholders and the Professional Investors should carry out their own analysis and assessment of the Company's financial situation, its activities, and the risks arising from the investment in the Debentures.
