Closing. The Parties hereby agree that the Transaction shall be consummated at the closing (the “Closing”), which shall occur not later than one hundred and twenty (120) days after the Signing Date, upon the Purchaser’s verification of the Sellers’ fulfillment of the Conditions Precedent and/or the written waiver of the unfulfilled Conditions Precedent (the “Closing Date”). The Purchaser may waive the compliance with any or all Conditions Precedent at any time by sending written notice to the Sellers, in which case, the Sellers agree to conduct the Closing within five (5) days as of the receipt date of such notice.
