Acceptance and Title. Inspection and acceptance of the Equipment shall occur within fifteen (15) days after the date of shipment. Customer shall receive title to all deliverable Equipment (excluding the firmware resident in the MCTs described in Section 1.4 below), only upon QUALCOMM's receipt of complete and full payment. QUALCOMM shall be entitled to affix tags, decals, or plates to the Equipment indicating QUALCOMM as the manufacturer of the Equipment and displaying any QUALCOMM trademarks.
Acceptance and Title. 2.4 Three will deliver the Equipment to the address specified on the completed Order provided the address is in the Republic of Ireland.
Acceptance and Title. 2.1. SELLER shell give BUYER 15 (fifteen) days written notice of the date on which the HELICOPTER shat be scheduled to be ready for Inspection, acceptance and delivery. BUYER shall start the acceptance process at the SELLER’s designated factory within the aforementioned 15 (fifteen) day period, arranging at its own expense and risk, for Its authorised and qualified representative, to perform the inspection and acceptance of the HELICOPTER(S). Upon successful completion of the Inspection, BUYER or its representative shall sign an acceptance certificate prepared by the SELLER in respect of the HELICOPTER, confirming that It is in accordance with the CONTRACT, and accepted by BUYER and is ready for delivery.
Acceptance and Title. All goods shall be received subject to Xxxxx's right of inspection and rejection. Defective goods or goods not in accordance with Xxxxx's specifications will be held for Seller's instruction at Seller's risk and if Seller so directs, will be returned at Seller's expense. If inspection discloses that all or any part of the goods received are not in accordance with Buyer's specifications, Buyer shall have the right to cancel any unshipped portion of the order. Payment for goods on this order prior to inspection shall not constitute acceptance thereof, and is without prejudice to any and all claims that Xxxxx may have against Seller.
Acceptance and Title. 5.1 Where acceptance tests or procedures are set out in an Agreement, Goods and/or Services shall be subject to completion of the acceptance tests or procedures to the satisfaction of Seeing Machines. Should no acceptance tests or procedures be setout in an Agreement, Goods and/or Services will be subject to a ninety (90) day acceptance period.
Acceptance and Title. Unless otherwise specified on the PO, Customer’s acceptance of the Products and/or Services shall occur when (i) the Products have been satisfactorily delivered pursuant to Customer’s instructions and inspected, and/or the Services have been fully performed, and (ii) the Products and/or Services meet all applicable performance criteria set forth in the PO and these Terms and Conditions. Customer will notify Supplier within a reasonable time from the date the Products and/or Services have been received or completed if Customer has rejected the Products and/or Services (a “Rejection Notice”). Unless otherwise specified on a PO, in the event that Supplier does not receive a Rejection Notice within fourteen (14) days following completion of the Services or receipt of the Products, then such Products or Services shall be deemed to be accepted by Customer. For greater certainty, Customer’s payment of any invoice shall not be deemed to be acceptance of Products and Services, or either of them, as applicable. Title to any Products shall pass to Customer upon acceptance by Customer.
Acceptance and Title a) Following delivery to the Town in accordance with the Purchase Order, a Town representative shall inspect the goods or services and if the Town representative is satisfied with such visual inspection that the goods/services meet the requirements of the Purchase Order, the Town representative shall confirm the Town’s acceptance of the delivery of the goods/services by issuing a written acceptance certificate (the “Certificate of Acceptance”), which may be in email form.
Acceptance and Title. Title and risk of loss with respect to Products shall pass to Buyer upon delivery to Buyer at Aerojet's plant. Buyer will be deemed to have accepted the shipment of Products 30 days after delivery to Buyer unless Buyer notifies Aerojet in writing within such 30 day period that Buyer is rejecting a shipment of Products, together with a full description of the reasons for such rejection. Buyer's rejection of a shipment of Products is limited solely to failure to meet Specifications which substantially impair the value of the Products. There shall be no revocation of acceptance.
Acceptance and Title. 4.1 If specified as such in the Purchase Order, time will be of the essence with respect to the Supplier’s delivery obligations under this Agreement. The time period for delivery to the University will be specified in the Purchase Order.
