Acceptance by Customer. The customer undertakes and agrees to accept all of the terms and conditions stated within this document IN FULL upon once placing an order upon the company.
Acceptance by Customer. By indicating that you intend to accept the offer you (the customer):
Acceptance by Customer. (a) The Customer will have accepted a Quote if it:
(1) signs and returns a copy of the Quote; or
(2) orally agrees to the Quote; or
(3) provides instructions (orally or in writing) to TEN to commence the Supply Item after receiving the Quote; or
(4) issues a purchase order to TEN in respect of the Supply Item after receiving the Quote; or
(5) accepts delivery or performance of the Supply Item.
Acceptance by Customer. 1. Customer shall inspect all shipments of Products promptly after receipt. Unless Customer notifies M-MOS in writing of any non-conformance of the Products within ten
Acceptance by Customer. It is enforceable against the Customer and for the amount shown as owing in the statements furnished by Debtor to Lender. No return, rejection or repossession has occurred. It and the transaction out of which it arose comply with all applicable laws and regulations. The Customer has not notified Debtor that the merchandise or services have not been accepted by the Customer. The Account is not subject to dispute, setoff, credit allowance or adjustment or other defenses or counterclaims.
Acceptance by Customer. It is enforceable against the Customer and for the amount shown as owing in the statements furnished by Borrower to Bank. No return, rejection or repossession has occurred. It and the transaction out of which it arose comply with all applicable laws and regulations. The merchandise or services have been fully accepted by the Customer without dispute and are not subject to any setoff, credit allowance or adjustment, nor is it subject to any defenses or counterclaims. Any account otherwise includable in Qualified Accounts shall be reduced by any amount owing by Borrower to the Customer and only the reduced amount shall be included in Qualified Accounts.
Acceptance by Customer. Where Planet has given the customer a Quote:
(a) Planet need not commence work until the Quote has been accepted by the customer.
(b) The customer may accept the Quote by instructing (orally or in writing) Planet to commence work.
(c) Acceptance by the customer of the Quote, whether express or implied, will constitute acceptance by the customer of these Terms and Conditions.
Acceptance by Customer. For each deliverable to be provided as part of the Services, including without limitation all updates, upgrades, modifications, enhancements, new versions and new releases, CUSTOMER shall have the right to review and perform acceptance testing of such deliverables. Before finalizing the work authorization on any such deliverable, MTS will determine in consultation with CUSTOMER certain objective functional characteristics, acceptance criteria and performance metrics (including fault and error rates) that will be expected of that deliverable. CUSTOMER will perform testing and verification of each such deliverable, and shall allow MTS to participate in such testing at MTS's discretion, sufficient to demonstrate that such deliverable provides the expected functional characteristics, meets or exceeds acceptance criteria, and meets or exceeds the expected and performance metrics. The deliverable will be deemed to be accepted by CUSTOMER at the end of ten(10) business days after delivery of the software to CUSTOMER for acceptance testing unless the CUSTOMER objects or refuses delivery in writing (electronic means acceptable) prior to such time for reasons of errors or defects. MTS will promptly remedy any errors or defects discovered during verification and testing. Attachment A Exhibit 1, CUSTOMER Business Requirements Document OVERVIEW: This document will provide CUSTOMER with a list of the development and implementation items that need to be created by MTS for the deployment and support of the CUSTOMER's launch of a wireless MVNO Service offering to their Subscribers. This document reflects MTS's understanding of the CUSTOMER's offering as of December 14, 2005. The final production definition will be developed upon a joint process and service planning sessions with CUSTOMER and MTS. If significant changes are made to the offering, then this plan, list of deliverables and delivery dates may be adjusted to incorporate the final offering definition. This offering provides the CUSTOMER with all the functionalities of a fully operating wireless carrier tailored to CUSTOMER's business model: branding, ordering, provisioning, payment, billing, fulfillment, service, reporting, etc. Launch will include the following to be filled out Product: Ordering Service:

Acceptance by Customer. 37.1. Acceptance is deemed to have taken place when the customer accepts the terms and conditions of an Inecom quotation including the condition of this IT Solutions and Services Agreement either upon

a) Pricing is shown as per month plus GST

a) Inecom Professional Services delivered as they maybe from time to time and as requested by the client will be delivered in accordance with the IT Solutions and Services Agreement.
b) Any estimate of consulting services is used for illustration purposes only. Through your discussions with the Project Manager you will decide the right level of assistance you seek.
c) Time should be allocated on an annual basis to keep your systems up to the latest release
d) Consultancy will be charged in accordance with Clause 8 – CHARGES AND PAYMENTS
e) Estimated times do not include creating bespoke reports, queries, document layouts, data transfer, Integration etc.
f) Inecom Professional services are estimated based upon a class 5 estimate according to AACE International Recommended Practice No. 18R-97. Infrastructure
a. Travel expenses excluded.
b. Licence subscription “pay per month” model (Microsoft SPLA, SAP Subscription Model) is subject to various software vendor terms and conditions and the client must satisfy itself as to these various terms and conditions
c. Where a License Subscription is quoted and the client accepts such quotation, the issuance of any such license is subject to location on a “designated Server”:
i. the terms contained in the Inecom IT Solutions and Services agreement
ii. the terms and conditions contained in any quotation provided
Acceptance by Customer. As a condition to the acceptance of the purchase order, Xxxxxxxx agrees to all of the Terms and Conditions contained herein. All sales by KUS to Customer shall be governed by these Terms and Conditions, as they are made a part of and incorporated into all purchase orders, agreements, and purchase and sale documents. These Terms and Conditions may not be altered, modified, or rejected by any subsequent writings of Xxxxxxxx, unless KUS agrees to such alteration, modification, and/or rejection in writing.
