Account Activities. Except to the extent caused by Company’s breach of this Agreement, (a) Customer is responsible for all activities that occur under Customer’s Account, regardless of whether the activities are authorized by Customer or undertaken by Customer, its employees or a third party (including Customer’s contractors, agents or End Users), and (b) Company and its affiliates are not responsible for unauthorized access to your Account.
Account Activities. You are solely responsible for i. Your (including Users') access and use of the Services in compliance with these Terms; ii. without prejudice to Our obligations under Section 8 (Confidentiality) and Section 9 (Data Privacy), maintaining the confidentiality of unique login information, credentials and passwords associated with Your Account, and the privacy and security of Your Account; iii. ensuring that Your use of the Services to store, process and transmit Customer Data is compliant with applicable laws and regulations; iv. all activities that occur regarding Your Account regardless of whether the activities are undertaken by You, Users, or a third party (including Your contractors or agents); v. immediately ceasing use of the Services for a prohibited activity or purpose if We inform You that a specified activity or purpose is prohibited with respect to the Services; and vi. determining whether the Services or the information generated thereby is accurate or sufficient for Your purposes.
Account Activities. Only you may use your Submission Access Account, if Microchip grants you access. You will comply with the Submission Portal Terms, and you agree that: (1) you are responsible for all activity within or through your Submission Access Account, whether you authorized the activity;

This includes:  When you login into the Gekko Plus Platform.  When you add or remove an exchange integration.  When we change our supported exchange integrations and it effects a Gekko bot you are run- ning.  When you change details related to logging into the platform, such as: o Password o 2FA settings o Email address  When you start or stop a live Gekko bot.
Account Activities. Only you may use your Submission Access Account, if Microchip grants you access. You will comply with the Submission Portal Terms, and you agree that: (1) you are responsible for all activity within or through your Submission Access Account, whether you authorized the activity; (2) you will not share your user name and password or otherwise authorize any third party to access or use the Submission Access Account or submit any Software, whether on your behalf or otherwise; (3) you will keep your information current; and (4) you will not, and you will ensure that any of your employees, contractors, agents, or representatives do not, engage in any activity that interferes with, disrupts, damages, corrupts, or accesses, in any unauthorized manner, the servers, networks, underlying infrastructure, or other systems or properties of any Submission Portal. For any or no reason, Microchip may, in its sole discretion, terminate your Submission Access Account, or remove or delete any Software or content you uploaded.

  • Development Activities The Development activities referred to in item “b” of paragraph 3.1 include: studies and projects of implementation of the Production facilities; drilling and completion of the Producing and injection xxxxx; and installation of equipment and vessels for extraction, collection, Treatment, storage, and transfer of Oil and Gas. The installation referred to in item “c” includes, but is not limited to, offshore platforms, pipelines, Oil and Gas Treatment plants, equipment and facilities for measurement of the inspected Production, wellhead equipment, production pipes, flow lines, tanks, and other facilities exclusively intended for extraction, as well as oil and gas pipelines for Production Outflow and their respective compressor and pumping stations.

  • PROJECT ACTIVITIES This Grant Agreement is for the Foundational Year only. Subsection 1. Continuous SIA Plan Implementation (a) Increasing instructional time, which may include: (A) More hours or days of instructional time; (B) Summer programs; (C) Before-school or after-school programs; or (D) Technological investments that minimize class time used for assessments administered to students. (d) Expanding availability of and student participation in well-rounded learning experiences, which may include: (A) Developmentally appropriate and culturally responsive early literacy practices and programs in prekindergarten through third grade; (B) Culturally responsive practices and programs in grades six through eight, including learning, counseling and student support that is connected to colleges and careers; (C) Broadened curricular options at all grade levels, including access to: (i) Art, music and physical education classes; (ii) Science, technology, engineering and mathematics education;

  • EXTRA-CURRICULAR ACTIVITIES 1. In this Agreement, extra-curricular programs and activities include all those that are beyond the provincially prescribed and locally determined curricula of the school district. 2. The Board and the Association consider it desirable that teachers participate in extra-curricular activities, and recognize that participation in extra-curricular activities by the individual teacher is on a voluntary basis.

  • Market Activities The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock or (ii) sell, bid for, or purchase Common Stock in violation of Regulation M, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the Agent.

  • Activities Except with the prior written consent of the Board, Executive will not during his employment with the Company undertake or engage in any other employment, occupation or business enterprise, other than ones in which Executive is a passive investor.   • Account Access Electronic Check Transactions may only be made from your checking account.

  • Independent Activities 14.1 Except as expressly provided herein, each party shall have the free and unrestricted right to independently engage in and receive the full benefit of any and all business endeavours of any sort whatsoever, whether or not competitive with the endeavours contemplated herein without consulting the other or inviting or allowing the other to participate therein. No party shall be under any fiduciary or other duty to the other which will prevent it from engaging in or enjoying the benefits of competing endeavours within the general scope of the endeavours contemplated herein. The legal doctrines of "corporate opportunity" sometimes applied to persons engaged in a joint venture or having fiduciary status shall not apply in the case of any party. In particular, without limiting the foregoing, no party shall have any obligation to any other party as to: (a) any opportunity to acquire, explore and develop any mining property, interest or right presently owned by it or offered to it outside of the Property at any time; and (b) the erection of any mining plant, mill, smelter or refinery, whether or not such mining plant, mill, smelter or refinery treats ores or concentrates from the Property.

  • High Risk Activities 1. The Software is not fault-tolerant and is not designed, manufactured or intended for use or resale as on-line control equipment in hazardous environments requiring fail-safe performance, such as in the operation of nuclear facilities, aircraft navigation or communication systems, air traffic control, direct life support machines, or weapons systems, in which the failure of the Software could lead directly to death, personal injury, or severe physical or environmental damage ("High Risk Activities"). Syncro and its suppliers specifically disclaim any express or implied warranty of fitness for High Risk Activities.

  • Commercial Activities Neither Contractor nor its employees shall establish any commercial activity or issue concessions or permits of any kind to Third Parties for establishing commercial activities on the Site or any other lands owned or controlled by Owner.
