Account Holder Obligations. 7.1 An Account Holder that is not an individual shall appoint an Account Holder Representative to execute all documents, including but not limited to Part One: Application and Part Two: Registration Agreement, and administer all procedures required for this authorization to submit documents for registration in the ELRS. 7.2 Where, in the Application, the Account Holder has indicated that it is a member of a Regulated Organization, it shall ensure that membership in that organization is maintained in good standing, in accordance with the relevant governing legislation, and that the conduct of the Account Holder complies with any applicable standards of practice, code of ethics or code of professional standards. 7.3 Where, in the Application, the Account Holder has indicated that it has Users that are members of a Regulated Organization, the Account Holder shall monitor that the User’s membership in that organization is maintained in good standing, that the User acts in accordance with the relevant governing legislation, and that the User’s conduct complies with any applicable standards of practice, code of ethics or code of professional standards. 7.4 Where, in the Application, the Account Holder has indicated that it falls within category B , and the Account Holder has non-professional Users within its company that are submitting documents for registration in the ELRS, the Account Holder and the Users that are members of a Regulated Organization shall directly supervise the non- professional Users. 7.5 The Account Holder shall maintain a list, in writing, of the names and business contact information for all Users. The Account Holder shall keep the list current, and shall immediately inform Teranet upon any additions to or deletions from the list. The Account Holder acknowledges that the Director shall rely on Teranet’s information with respect to the Users for the purposes under this agreement and any applicable laws. 7.6 The Account Holder, or its Account Holder Representative, if any, shall review and confirm the government-issued photo identification of each User, in accordance with the forms of identification which are acceptable under the Application. 7.7 Prior to the submission of a Transfer, Charge, Discharge or Power of Attorney for registration in the ELRS, the Account Holder shall ensure that its User has obtained evidence of proper authorization from the owner of the land or holder of an interest in the land that has directed the registration, ...

Account Holder Obligations. (a) The Account Holder shall: (i) provide to the Supplier all necessary co-operation in relation to these Terms and any Order; and all necessary access to such information as may be required by the Supplier in order to provide the Solutions including but not limited to Account Holder Data, security access information and configuration services; (ii) carry out all Account Holder Obligations in a timely and efficient manner; (iii) ensure that the Account Holder's network and systems comply with the relevant specifications and use restrictions provided by the Supplier from time to time and comply with any security, information security and technical procedures and requirements in relation to the Solutions and/or Deliverables; and (iv) with respect to Assessment Responses in particular: (A) not use such Assessment Responses in isolation in order to guide or inform a decision; and (B) always use such Assessment Responses in accordance with best industry practice. (b) The Account Holder is responsible for having an appropriate Account Holder Environment to receive and/or enable the use of the Solutions and/or Deliverables, and obtaining any relevant third-party software licences. Neither Xxxxxx nor the Supplier shall be liable for any incompatibility, failure, use or misuse by the Account Holder of the Account Holder Environment.

ACCOUNT HOLDER will pay any additional fees incurred by fax activity on holders account(s), including those fees that are charged by any governmental authority and or third parties such as, but not limited to IAFax carriers. b. ACCOUNT HOLDER is obligated to send fax documents that fully comply with the laws of the applicable governmental jurisdictions, including, but not limited to the TCPA or the Junk Fax Act. c. ACCOUNT HOLDER is obligated to send fax documents that do not infringe on any of the intellectual property rights that are owned by third parties. d. ACCOUNT HOLDER agrees not to share passwords, nor let a third party use the SERVICE (e.g. Account Holder subcontracting). e. ACCOUNT HOLDER agrees to be bound by IAF SERVICES’ Acceptable Use Policy found at xxx.xxxxx.xxx/xxxxx/XXXxx-XxxxxxxxxxXxxXxxxxx.xxx
Account Holder Obligations. Content provided on XxxxxxXxxxxxx.Xxxxxx may be viewed and used only for its intended purposes. The Director shall rely on Teranet’s information with respect to the Users. 7.4 The Account Holder shall ensure that its Account Holder Representative reviews and confirms the government- issued photo identification of each User, in accordance with the forms of identification which are acceptable under the Application. 7.5 Without limiting the Account Holder’s responsibilities under section 6.1, the Account Holder shall limit the User’s use of the authorization granted in section 2.1 of this Agreement to matters that relate to the Account Holder’s business.

  • Purchaser Obligations EXPIRATION. Upon expiration of this Participating Addendum, Purchaser shall accept and take delivery of all outstanding and not yet fulfilled Purchase Orders and pay Contractor the price as set out in the Master Agreement. Notwithstanding any provision to the contrary, in no event shall a Purchaser’s Purchase Order pursuant to this Participating Addendum that is executed prior to expiration of this Participating Addendum allow for Contractor to provide Goods and/or Services more than twelve (12) months beyond the expiration date of the Master Agreement.

  • Developer Obligations In accordance with applicable NYISO requirements, Developer shall maintain satisfactory operating communications with Connecting Transmission Owner and NYISO. Developer shall provide standard voice line, dedicated voice line and facsimile communications at its Large Generating Facility control room or central dispatch facility through use of either the public telephone system, or a voice communications system that does not rely on the public telephone system. Developer shall also provide the dedicated data circuit(s) necessary to provide Developer data to Connecting Transmission Owner and NYISO as set forth in Appendix D hereto. The data circuit(s) shall extend from the Large Generating Facility to the location(s) specified by Connecting Transmission Owner and NYISO. Any required maintenance of such communications equipment shall be performed by Developer. Operational communications shall be activated and maintained under, but not be limited to, the following events: system paralleling or separation, scheduled and unscheduled shutdowns, equipment clearances, and hourly and daily load data.

  • Subscriber Obligations The Subscriber must: (a) notify XXXX in writing as soon as reasonably practicable after it becomes aware of any claim under clause 13.1 of this Participation Agreement; (b) on leave being granted by a court, give XXXX the option to conduct the defence of such a claim, including negotiations for settlement or compromise prior to the institution of legal proceedings, provided that the Subscriber may direct XXXX in the conduct of the defence or settlement of any claim to the extent reasonably necessary: (i) to the extent reasonable, to protect the reputation of the Subscriber; and/or (ii) to ensure the Subscriber continuity of the use of the Services in accordance with the Participation Agreement; and/or (iii) to determine the amount of any settlement sum to be granted; (c) provide XXXX with reasonable assistance in conducting the defence of such a claim, subject to the Subscriber being reimbursed by XXXX for the costs of providing such assistance; (d) permit XXXX to modify, alter or substitute the infringing part of the Services, at its own expense, to render the Services non-infringing; and (e) authorise XXXX to negotiate and procure on behalf of the Subscriber a licence or other authority to enable the Subscriber to continue the use of the Services.

  • Buyer Obligations In the event of any termination hereunder, Buyer shall return all documents and other materials furnished by Seller with respect to the Hospital Campus Real Property. No information or knowledge obtained in any investigation pursuant to this Section shall affect or be deemed to modify any representation or warranty contained in this Agreement or the conditions to the obligations of the Parties hereunder. Buyer shall keep the Hospital Campus Real Property free and clear of all mechanics’ or materialmen’s liens arising from or related to Buyer’s due diligence efforts and shall take all necessary actions, at Buyer’s sole cost and expense, to remove any such liens that encumber the Hospital Campus Real Property to the extent that the existence of such liens shall have a material adverse effect on Seller (including, without limitation, causing Seller to be in default of any of its obligations or agreements), the Hospital Campus Real Property (or any portion thereof) or the Licensed Operations.
