Subscriber Obligations. The Subscriber must:
(a) notify XXXX in writing as soon as reasonably practicable after it becomes aware of any claim under clause 13.1 of this Participation Agreement;
(b) on leave being granted by a court, give XXXX the option to conduct the defence of such a claim, including negotiations for settlement or compromise prior to the institution of legal proceedings, provided that the Subscriber may direct XXXX in the conduct of the defence or settlement of any claim to the extent reasonably necessary:
(i) to the extent reasonable, to protect the reputation of the Subscriber; and/or
(ii) to ensure the Subscriber continuity of the use of the Services in accordance with the Participation Agreement; and/or
(iii) to determine the amount of any settlement sum to be granted;
(c) provide XXXX with reasonable assistance in conducting the defence of such a claim, subject to the Subscriber being reimbursed by XXXX for the costs of providing such assistance;
(d) permit XXXX to modify, alter or substitute the infringing part of the Services, at its own expense, to render the Services non-infringing; and
(e) authorise XXXX to negotiate and procure on behalf of the Subscriber a licence or other authority to enable the Subscriber to continue the use of the Services.
Subscriber Obligations. You may enable access of the Service for use only by Authorized Parties solely for your internal business purposes and those of your Affiliates in accordance with the terms of this Agreement and the Documentation and not for the benefit of
Subscriber Obligations. In addition to complying with the terms of the QuickSSL Certificate Practices Statement ("CPS") which are incorporated by reference into this Agreement, Subscriber shall comply with each of the following obligations: (a) provide information on the Certificate application that is correct and accurate, (b) generate a Key Pair using a Trustworthy System; (c) use the Certificate exclusively for authorized and legal Public and Private Key operations consistent with this Agreement; (d) protect the confidentiality of the Private Key from unauthorized use, access or disclosure; (e) use the Certificate only in conjunction with properly licensed cryptographic software, (f) promptly request that GeoTrust revoke the Certificate upon any change to the information on the Certificate or the Certificate application, including, but not limited to the change of the organization name or domain name registration of Subscriber, (g) promptly request that GeoTrust revoke the Certificate upon any actual or suspected loss, disclosure, or other compromise of the Private Key, and (h) install the Certificate on no more than one server at a time. Any failure of Subscriber to comply with each of the obligations under this Section 2 shall be a material breach of the Agreement. Subscriber acknowledges the inherent possibility of the compromise of Subscriber's and/or another Subscriber's Private Key, which may or may not be detected, and the possible use of a stolen or compromised Private Key to forge Subscriber's or another Subscriber's Digital Signature.
Subscriber Obligations. Subscriber shall:
(i) provide accurate and complete information at all times to Sectigo in the Certificate request and as otherwise requested in connection with the issuance of Certificates;
(ii) install and use each Certificate 1) only on domains owned or controlled by Subscriber and 2) only on the server(s) accessible at the domain name listed in the Certificate if the Certificate is a DV Certificate, OV Certificate, or EV Certificate;
(iii) use the Certificates only for the purposes listed in the Sectigo CPS;
(iv) review and verify the accuracy of the data in each Certificate prior to installing and using the Certificate, and immediately inform Sectigo if any data listed in a Certificate changes or ceases to be accurate;
(v) be responsible, at Subscriber’s expense, for 1) all computers, telecommunication equipment, software, access to the Internet, and communications networks (if any) required to use the Certificates, 2) Subscriber’s conduct and its website maintenance, operation, development, and content;
(vi) promptly inform Sectigo if Subscriber becomes aware of any misuse of the Certificates and assist Sectigo in preventing, curing, and rectifying any misuse;
(vii) take all reasonable measures to assure control of, keep confidential, and properly protect at all times the Private Key that corresponds to the Public Key to be included in a Certificate;
(viii) immediately cease using a Certificate and the related Private Key and request revocation of the Certificate if 1) any information in the Certificate is or becomes incorrect or inaccurate, or 2) there is any actual or suspected misuse or compromise of the Private Key associated with the Certificate;
(ix) cease all use of the Certificate and its Private Key upon expiration or revocation of the Certificate;
(x) comply with all regulations, policies, and procedures of its networks while using Certificates,
(xi) obtain and keep in force any consent, authorization, permission or license that may be required for Subscriber’s lawful use of the Certificates; and
(xii) abide by all applicable laws, rules, regulations, and guidelines when using a Certificate.
Subscriber Obligations. Subscriber agrees to reasonably cooperate in preventing violations of this Agreement by Authorized Users and to notify the Society promptly upon discovering any such violation. Subscriber also agrees to take such reasonable steps as the Society may require to ensure that such activity ceases. In addition to any other applicable remedies, access to the Subscribed Products may be limited or revoked in the event of a violation of this Agreement by an Authorized User. Subscriber agrees not to frame, modify, obscure, or otherwise alter the appearance or display of any materials at the Subscribed Products. Subscriber agrees to use the Subscribed Products in accordance with applicable laws, rules and regulations.
Subscriber Obligations. 7.1 The obligations in this paragraph 7 of this Schedule apply in addition to those listed in clause 3 of the LME Market Data Licence General Terms.
7.2 The Subscriber will be responsible for its Users, and shall assume all risk associated with, any opinions, recommendations, forecasts or other comments made or actions taken by Users, based in whole or in part on the Data as incorporated in Authorised Device/s.
7.3 The Subscriber shall be responsible for controlling access to the Data by Users who use the Data pursuant to this Agreement. In accordance with the LME Policy, the Subscriber may be required to provide details of this internal usage to the Licensee to be included in the Reports to the LME.
7.4 The Subscriber shall ensure that it has appropriate systems, rules, procedures and policies in place to allow access to Users and to ensure Users’ compliance with all relevant terms of the Subscriber Agreement.
7.5 If the Subscriber is eligible under the LME’s Natural User Policy, the Subscriber shall, upon approval from the LME, comply with the Natural User Policy with respect to this paragraph 7 and as set out in the LME Policy.
7.6 Where access to an Authorised Device is controlled by means of an Access ID, the Subscriber must not allow any third party to access the Data through the use of the Access ID and passwords allocated to its Users in connection with this Agreement.
7.7 The Subscriber shall install and maintain suitable control and security systems in order to prevent any unlawful use of the Data or use in violation of this Agreement.
7.8 The Subscriber shall install its own physical and software security systems to protect its information technology equipment, in particular a firewall securing all information and telecommunications systems from the intrusion of third parties not authorised under this Agreement.
7.9 The Subscriber undertakes to comply with the requirements in relation to Reports contained in the in the LME Policy and the Price List.
Subscriber Obligations. 5.1 Subscriber will (a) comply with all applicable laws, statutes, regulations and ordinances, (b) only use the Services for legitimate business purposes and (c) not use the Services for illegitimate purposes which includes, but is not limited to, the transmission of Spam, Malware, or excessive email.
5.2 If Cyren, in its discretion, determines that Subscriber is using the Services to distribute Spam or Malware, or for any other illegitimate purpose, Cyren may suspend the Services until the problem is resolved or terminate the Services. A suspension or termination in such case will not result in any refund to Subscriber.
5.3 Cyren may, at any time, test whether Subscriber’s email system is acting as an Open Relay. If Cyren, in its discretion, determines that Subscriber’s email system is acting as an Open Relay, Cyren will inform Subscriber and may suspend the provision of CES until the problem is resolved or terminate the Services. A suspension in such case will not result in any refund to Subscriber.
5.4 Subscriber represents and warrants that it is authorized to receive the Services and that the receipt of the Services by Subscriber does not violate any applicable law or any statute or violate any contractual obligations that Subscriber has to any third party. Subscriber shall obtain all necessary consents from users of its systems (including all employees and independent contractors) in order to employ the Services, including regarding the interception, reading, copying or filtering of emails and attachments. Subscriber shall not use the Services to filter, screen, manage or censor Internet content for consumers without permission from the affected consumers and Cyren’s express prior written approval which may be withheld in Cyren’s sole discretion.
5.5 Subscriber will defend, indemnify and hold Cyren harmless against any loss, damage or costs (including reasonable attorneys’ fees) incurred in connection with any claims, demands, suits, or proceedings (“Claims”) made or brought against Cyren or its Affiliates by a third party alleging arising out of or related to Subscriber’s or its Affiliates or personnel (i) violation of its obligations in this Section 5; (ii) infringement of intellectual property rights; (iii) civil or criminal offenses; (iv) transmission or posting of obscene, indecent, or pornographic materials; (v) transmission or posting of any material which is slanderous, defamatory, offensive, abusive, or menacing or which causes annoyance or ...
Subscriber Obligations. In addition to complying with the Enterprise SSL and Enterprise SSL Premium Certificate Practice Statement ("CPS") located at xxxx://xxx.xxxxxxxx.xxx/resources and incorporated by reference into this Agreement, Subscriber shall comply with each of the following obligations: (a) provide information on the enrollment form that is correct and accurate,
(b) generate a Key Pair using a Trustworthy System, (c) use the Certificate only for legal purposes and not for any potentially fraudulent or misleading purpose, (d) use the Certificate only for such uses as are permitted in the CPS, (e) protect the confidentiality of the Private Key from unauthorized use, access or disclosure, (f) use the Certificate only in conjunction with properly licensed cryptographic software, (g) promptly request that GeoTrust revoke the Certificate upon any change to the information on the Certificate or the enrollment form, including, but not limited to the change of the organization name or domain name registration of Subscriber, (h) promptly request that GeoTrust revoke the Certificate upon any actual or suspected loss, disclosure, or other compromise of the Private Key, and (i) shall not install the Certificate on more than the number of servers selected on the enrollment form. Any failure of Subscriber to comply with the obligations under this Section 2 shall be a material breach of this Agreement.
Subscriber Obligations. In connection with its use of the Data, Subscriber shall: (i) comply with all applicable national, international, federal, state, and local laws, rules, and regulations and self- regulatory guidelines, including, without limitation, laws relating to privacy and unfair business practices; and (ii) establish, implement, and maintain reasonable physical, electronic, and procedural safeguards to maintain the security and confidentiality of the Data.
Subscriber Obligations. Subscriber warrants and covenants:
(i) to provide accurate and complete information at all times to Sectigoin the Certificate Request and as otherwise requestedin connection with the issuance of Certificates;
(ii) to review and verify the accuracy of the data in each Certificate prior to installing and using the Certificate, and immediately inform Sectigo if any data listed in a Certificate changes or ceases to be accurate;
(iii) to install and use each DV Certificate, OV Certificate, and EV Certificate 1) only on domains owned or controlled by Subscriber and 2) only on the server(s) accessible at the subjectAltName(s)listed in the Certificate;
(iv) the subject named in each ordered EV Certificate has exclusive control of the domain name(s) listed in such Certificate;
(v) to be responsible, at Subscriber’s expense, for 1) all computers, telecommunication equipment, software, access to the Internet, and communications networks (if any) required to use the Certificates, 2) Subscriber’s conduct and its website maintenance, operation, development, and content;
(vi) to take all reasonable measures to assure control of, keep confidential, and properly protect at all times the Private Key that corresponds to the Public Key to be included in a Certificate;
(vii) to use one of the following options to generate Code Signing Certificate and to protect each Code Signing Certificateand each Document Signing Certificate: 1) a trusted platform module (TPM) that generates and secures a key pair and that can document protection of the Private Key through a TPM key attestation; 2) a hardware crypto module with a unit design form factor certified as conforming to at least FIPS 140 Level 2, Common Criteria EAL 4+, or equivalent; or 3) if 1) and 2) are not feasible, another type of hardware storage token with a unit design form factor of SD Card or USB token (not necessarily certified as conformant with FIPS 140 Level 2 or Common Criteria EAL 4+);
(viii) to use Document Signing Certificates solely for signing PDF documents in connection with its legitimate business purposes;
(ix) it has all necessary consents to appoint each Certificate Requester and Certificate Approver, and that each Certificate Requester and Certificate Approver has been provided a copy of, or an opportunity to review, this Agreement and Sectigo’s Privacy Policy;
(x) to promptly inform Sectigoif Subscriber becomes aware of any misuse of a Certificate and assist Sectigoin preventing, curing, and rectifying a...
