Accounting Support. The Executive will be permitted to utilize the Company's office space, computer facilities and the equivalent of one (1) full-time accounting employee of the Company to maintain books and records for the Executive and the Executive's Permitted Activities. The Executive will not be required to pay any amount to the Company in connection with such accounting services.

Accounting Support. Advice and assistance with accounting, tax, audit and financial reporting of the Company, including, without limitation, advice and assistance in: (i) setting up and maintaining systems for financial record keeping; (ii) conducting the administration of the day-to-day bookkeeping and accounting functions as are required for the proper management of the assets of the Company; (iii) establishing and implementing internal audit functions; (iv) contracting for and supervising the process for independent annual audits; and (v) preparation of financial reports as may be required by any governmental authority in connection with the ordinary conduct of the Company’s business, including, without limitation, periodic reports, returns or statements required under the Securities Exchange Act of 1934, as amended (the “Exchange Act”), the Internal Revenue Code of 1986, as amended, the securities and tax statutes of any jurisdiction in which the Company is obligated to file such reports, or the rules and regulations promulgated under any of the foregoing.

Accounting Support. The Executive will be permitted to utilize the Company’s office space, computer facilities and personnel to provide accounting services, management services, records maintenance, tax advice, tax return preparation and other business services for the Executive’s (and the Executive’s immediate family’s) personal businesses, investments and activities. Starting with the 2007 calendar year, the Executive agrees to reimburse the Company an amount equal to 100% of the salaries and cash bonuses paid by the Company to employees primarily engaged in providing such support services to the Executive. The cost of secretarial or general administrative support for the Executive will not be required to be reimbursed in whole or part by the Executive.

XxXxxxxxx. Such amounts will be billed monthly on an estimated basis, adjusted to actual at least once annually and paid by the Executive on receipt of an invoice from the Company. The cost of secretarial or general administrative support for the Executive will not be required to be reimbursed in whole or part by the Executive.

Accounting Support. The Executive will be permitted to utilize the Company’s office facilities, computer facilities and personnel to provide accounting services, management services, records maintenance, tax advice, tax return preparation and other business services for the Executive’s (and the Executive’s immediate family members’) personal businesses, investments and activities. Beginning January 1, 2009, the Executive agrees to pay to the Company as a partial reimbursement an amount equal to: (a) direct cash compensation for each Company employee primarily designated to provide services under this paragraph (consisting of cash salaries, cash bonuses, and the employer's portion of payroll taxes) multiplied by the percentage of the time such employee spends providing such services plus (b) as indirect costs the amount for each employee under the foregoing clause (a) multiplied by a percentage determined by the compensation committee of the Board of Directors and approved by the Executive. Such amounts related to the provision of secretarial or general administrative support for the Executive will not be required to be reimbursed in whole or part under this paragraph.
