General Administrative Support. Buyer shall provide general administrative and operations services in connection with the Purchase Program, including but not limited to field sales support (when and where mutually agreed upon by Omnicell and Buyer), credit investigation and evaluation, document preparation, billing and collection, collection and remittance of payment of applicable property, sales, use or similar taxes pertaining to the System and customer service. Buyer will (i) advise Omnicell on a weekly basis of the Standard Rates that are applicable to all Transactions, (ii) maintain and operate systems which track the status of each Application and Transaction, (iii) invoice Customers, collect payments, process and apply funds, and (iv) collect and remit all applicable property, sales, use or similar taxes pertaining to the System and prepare and file tax returns in connection therewith. In the event a Customer, serviced by Buyer, has a good faith dispute with Buyer regarding the provision of the services described in this Section 2.4, Buyer will apply best efforts to resolve the dispute with such customer in such manner that Omnicell’s relationship with the Customer is not negatively affected; provided, however, that in all cases, subject to Section 5.1, Buyer reserves the right to employ (or decline to employ) such lawful collection procedures (including without limitation, litigation) as Buyer may determine prudent in its sole and absolute discretion.
General Administrative Support. 1.1 Provide administrative support to Senior Medical Employment Services Officers to assist with recruitment, contracts, on boarding, leave management, visas and registrations of medical staff. 1.2 Liaise with senior medical staff and heads of specialties and other health services concerning medical administrative processes.
General Administrative Support. SweeGen agrees to utilize, and Blue California agrees to permit SweeGen to utilize General Administrative Support for purposes permitted by law, subject to the terms and conditions set forth in this Agreement. (a) SweeGen agrees that: i. ▇▇ will only incur utility usage in a reasonable manner in connection with its ordinary course of business of office administration, operation and inventory. i▇. ▇▇ use SweeGen Leased IT and Furniture with normal care comparable to the manner SweeGen would use its own equipment and IT support. SweeGen shall be responsible for storing equipment within the SweeGen Leased IT and Furniture in a reasonably safe and secure manner. (b) Blue California agrees to be responsible for: i. ▇▇▇▇▇▇▇▇, maintenance and repair of the Shared Premises to an extent fit and appropriate for SweeGen’s conduction of ordinary business of office and inventory. ii. Maintenance, replacement and repair of any damaged equipment or furniture (in whole or in part) on a needed basis in connection with SweeGen Leased IT and Furniture. iii. Proper training and management of personnel for satisfactory provision of personnel support and consulting to SweeGen.

In performing the Administrative Services, Buyer will make reasonable efforts to collect all payments and taxes called for under the applicable Contract and Master Agreement, and will follow collection procedures at least as rigorous as those it would take in servicing similar receivables and in collecting payments and taxes thereunder for its own account. In the event a Customer, serviced by Buyer, has a good faith dispute with Buyer regarding the provision of the services described in this Section 2.4, Buyer will apply best efforts to resolve the dispute with such customer in such manner that Omnicell’s relationship with the Customer is not negatively affected; provided, however, that in all cases, subject to Section 5.1, Buyer reserves the right to employ (or decline to employ) such lawful collection procedures (including without limitation, litigation) as Buyer may determine prudent in its sole and absolute discretion.
