Salaries and Bonuses. The Disclosure Schedule contains a true and complete list of all current officers, directors and employees of the Company and of its Subsidiaries who received during the fiscal year ended December 31, 1996 remuneration from the Company or from any of its Subsidiaries in excess of $50,000, together with the current aggregate base salary rate for each such person.
Salaries and Bonuses. The White Cloud Disclosure Schedule contains a true and complete list of all current officers, directors and employees of White Cloud and of its White Cloud Subsidiaries who received during the fiscal year ended June 30, 1996 remuneration from White Cloud or from any of its White Cloud Subsidiaries in excess of $50,000, together with the current aggregate base salary rate for each such person.
Salaries and Bonuses. Pay salaries or bonuses except as approved by a compensation committee appointed by the Board of Governors of Borrower subject to the terms of the LLC Agreement. In no event shall bonuses paid to Borrower's managers and employees (not including bonuses required to be paid to Xxxxxx Xxxxxxxx pursuant to the terms of the Management Contract between Xx. Xxxxxxxx and Borrower dated March 4, 2002 (the "MANAGEMENT CONTRACT")) exceed ten percent (10%) of Borrower's Profits (as defined in the LLC Agreement) in any fiscal year.

a. for teachers classified by the Ministry of Education for salary grant purposes according to the classification so established. a. Industrial Education teachers shall be granted one increment on the salary schedule for each year of successfully completed government approved apprenticeship training. or its equivalent at a recognized institution. This allowance shall not exceed five increments and it shall not place the teacher above the scale maximum. Graphic Arts Teachers, Teaching Chefs and School Co-ordinators shall be granted one increment on the salary schedule for each year successfully completed government approved apprenticeship training or equivalent at a recognized institution. The superintendent of Schools will assess all cases in which equiv- alent training to that of apprenticeship training is claimed. This assessment will be made at the time the teacher is offered an appointment in the School District. Teachers being paid on the P.A. scale for a Certificate, Category plus university credit as at December shall continue to be classified for salary purposes as a Category teacher. Salaries and Bonuses. (i) From the Effective Date through 31 December 2007, you will be paid a monthly Fee/SOB Salary of $41,666.67, which annualizes to $500,000, payable at the end of each month, minus deductions required by law. You will not be paid a Management Salary during this period. In addition to your Fee/SOB Salary and subject to subparagraph (c) below:
(1) for your management service in 2006 prior to the Effective Date, you will be eligible for and receive a guaranteed pro rata Management Bonus payment of $375,000, payable in accordance with the Company’s policies regarding such bonuses;
(2) for your service as a Senior Partner following the Effective Date and for the remainder of 2006, you will receive a guaranteed pro rata Fee/SOB bonus payment of $50,000, payable in accordance with the Company’s policies regarding such bonuses; Xx. Xxxxxx X. Gwin September 26, 2006
(3) for the calendar year 2007, you will be eligible for and receive an annual guaranteed Fee/SOB Bonus payment of $200,000, payable in accordance with the Company’s policies regarding such bonuses.
(ii) Beginning on 01 January 2008 through 09 March 2008 you will receive a Fee/SOB Salary and such bonus compensation as may be agreed between you and the Company.
(iii) Your Fee/SOB Salary and your guaranteed Fee/SOB bonus for the applicable year will be subtracted from the applicable Fee/SOB compensation you earn in that year under the Company’s then-applicable Fee/SOB compensation plan and will serve as a guaranteed floor with respect to your Fee/ SOB compensation for the applicable year.
(iv) All Management and Fee/SOB Bonus payments described in this Agreement are, at the Company’s sole discretion and consistent with the terms of the Company’s then-applicable compensation plan, payable in both cash and restricted stock unts (“RSU’s”). For Management and Fee/SOB Bonus payments earned in 2006, 85% of the bonus payment will be paid in cash and 15% will be paid in equivalent value RSU’s.
Salaries and Bonuses. Borrower shall not make any payment of or commitment for salaries or bonuses, fees or other compensation; current or deferred, in excess of an amount which is reasonable with respect to the services provided.

Salaries and Bonuses. Subject to the following conditions, Borrower's Board of Directors shall be responsible for setting and controlling the salaries and bonuses of each officer and significant employee. The aggregate sum of all salaries and bonuses paid in fiscal year 1998 shall be in accordance with Section 7.3(j).
Salaries and Bonuses. Article H-1 Calculation of salaries, holiday allowances and structural year-end bonuses
1. The employee's salary is agreed with due observance of the rules adopted by the Parties to the collective employment agreement in or pursuant to the relevant laws and regulations. All salaries will be raised by 1.3% on 1 October 2007, by 1.0% on 1 October 2008, by 1.0% on 1 October 2009 and by 2.4% on 1 July 2010. The pay rises will impact the bonuses in the usual manner.
2. The employee's salary will be determined when the employment commences, in fairness and with due observance of his experience, within the appropriate salary for the position as assigned according to the job classification or within the introductory years specified for that bracket, and is paid on a monthly basis.
3. When the employment commences or undergoes any change, the employer will provide the employee with a breakdown of his income.
4. The holiday allowance is, per calendar month, 8% of the amount that the employee received as salary during that month, and is paid once per year, in the month of May, for the twelve-month period ending with the month of May. In deviation from that rule, if the employment is terminated, the holiday allowance will be calculated over the period from the end of the most recent period for which the employee was paid a holiday allowance until the date on which the employment is terminated. Annex III applies to the minimum holiday allowance.
5. In December, a structural year-end bonus is paid, based on the employee's annual salary and on the employment percentage, in accordance with the system used for holiday bonuses. For 2007, the year-end bonus is 3.7%, while for 2008 it is 5.8%. Starting 2009, the year-end bonus will be 8.3%, meaning that from that moment forward a full thirteenth month will be granted. This bonus impacts the pensionable salary and both current and new benefits.
