Acknowledgement of Confidential Information. Subcontractor agrees that all information communicated to it with respect to the Services to be performed under this Subcontract is Confidential Information, including any information gained by Subcontractor by reason of association with VEIC, VEIC customers, or DOEE.
Acknowledgement of Confidential Information. The Consultant acknowledges that in connection with the performance of services as a consultant pursuant to the terms of this Agreement the Company will make available to the Consultant, or the Consultant will have access to, certain Confidential Information (as defined below) of the Company and its affiliates. The Consultant acknowledges and agrees that any and all Confidential Information learned or obtained by the Consultant while engaged as a consultant to the Company or otherwise whether developed by the Consultant alone or in conjunction with others or otherwise, shall be and is the property of the Company and its affiliates.
Acknowledgement of Confidential Information. Parties hereby acknowledge that certain papers, lists, processes, etc., are Confidential Information. Parties acknowledge that the following items used in conducting the business of Telrite or the Company, the negotiation and ongoing business relationship between the Parties customers, prospective or contractual, are proprietary, confidential, unique and valuable, and that the disclosure of said materials to anyone other than the Parties defined in this Agreement, without obtaining prior written consent, will cause irreparable injury:
a. Lists of former, current or potential customers, pricing schedules and formulae, call lists, and other confidential customer data, including, but not limited to, tariff pricing and contractual information;
b. Memoranda, notes, records, and other confidential vendor of purchasing data, sketches, plans, drawings and other confidential research and development data, network design, manufacture supply and service agreements, and the composition of products or service;
c. Business plans, business strategy, product pricing, financing schemes, notes and records.
Acknowledgement of Confidential Information. By entering into this Agreement, you acknowledge that the Confidential Information has been and will be developed and acquired by the Company by means of substantial expense and effort, that the Confidential Information is a valuable asset of the Company's business, that the disclosure of the Confidential Information to any of the Company's competitors would cause substantial and irreparable injury to the Company's business, and that any customers of the Company developed by you or others during your employment are developed on behalf of the Company. You further acknowledge that you have been provided with access to Confidential Information, including Confidential Information concerning the Company's major customers, and its technical, marketing and business plans, disclosure or misuse of which would irreparably injure the Company.
Acknowledgement of Confidential Information. Executive hereby acknowledges that he possesses information and knowledge of the type described in Section 5.1 concerning Xxxxx of Xxxx and its subsidiaries which is not a matter of public knowledge, the release or dissemination of which would cause irreparable harm to Xxxxx of Xxxx and its subsidiaries, and that the performance of his obligations under this Section 5 are required for the reasonable protection of Xxxxx of Xxxx and its subsidiaries.
Acknowledgement of Confidential Information. Fujitsu acknowledges that the Transmeta Technology, Transmeta Technology Deliverables, Technology Transfer Training, Technical Support Services and Maintenance Services contain and will disclose to Fujitsu certain highly valuable trade secrets of Transmeta.

NECEL acknowledges that the Transmeta Technology, Transmeta Technology Deliverables, Technology * * * Confidential treatment has been requested for portions of this exhibit. The copy filed herewith omits the information subject to the confidential request. Omissions are designated as * * *. A complete version of this exhibit has been filed separately with the Securities and Exchange Commission. NECEL / Transmeta Agreement 7 March 25, 2004 Transfer Training, Technical Support Services and Maintenance Services contain and will disclose to NECEL certain highly valuable trade secrets of Transmeta.
Acknowledgement of Confidential Information. Sony acknowledges that the Transmeta Technology, Transmeta Technology Deliverables, Technology Transfer Training, Technical Support Services and Maintenance Services contain and will disclose to Sony certain highly valuable trade secrets of Transmeta unless and until those falls into any of the exceptions as provided in Section 7.3 below.
Acknowledgement of Confidential Information. The Recipient, on behalf of itself and on behalf of its Representatives, acknowledges and agrees that all information which the Recipient or its Representatives obtained from the Owner in connection with the Prior Confidentiality Agreements shall be deemed to constitute Confidential Information of the Owner, provided that Newco shall be deemed to be the Owner of -------- Confidential Information acquired by Newco pursuant to the Acquisition Agreement.

Toshiba acknowledges that the Transmeta Technology, Transmeta Technology Deliverables, Technology Transfer Training, Technical Support Services and Maintenance Services contain and will disclose to Toshiba certain highly valuable trade secrets of Transmeta, as provided for in Section 7.
