Activities Outside the United States. The BAA will include the Business Associate’s warranty that neither it nor any agents or Subcontractors will transfer, access, store, or otherwise handle PHI outside the United States without the prior written consent of McLaren. Further, the Business Associate will not use off-shore employees, agents, or Subcontractors to provide the Services.

Activities Outside the United States. To the extent it directly or indirectly engages in activities outside the United States, Grantee hereby certifies to the Grantor that: a. it shall comply with all laws and regulations in the territory where it is conducting activities and will comply with the U.S. Foreign Corrupt Practices Act (the “FCPA”); b. it has not paid or offered to pay or give anything of value to an official or employee of any government department, agency or instrumentality thereof (including, but not limited to, any health or medical institutions which are owned or controlled by the government), or to any political party or any candidate for political office, for the purpose of influencing JJ Foundation Agreement- Project Grant to Section 501(C)(3) updated 1-23-19 decisions favorable to Xxxxxxx & Xxxxxxx Services Inc. and/or its affiliates in contravention of the FCPA or the laws of the country in which it is conducting activities contemplated by this Agreement; c. it does not and will not employ or retain a person who is a governmental official or employee, including employees of government owned or government controlled corporations, agencies or bodies (such as health or medical institutions which are owned or controlled by the government), unless services retained are bona fide services andwhere required – the retained person has obtained necessary approvals by competent authorities/employer to be retained for said services; and d. it agrees that if subsequent developments cause these certifications reported herein no longer to be accurate, Grantee will immediately so advise Grantor in writing.

  • Substance Abuse The dangers and costs that alcohol and other chemical abuses can create in the electrical contracting industry in terms of safety and productivity are significant. The parties to this Agreement resolve to combat chemical abuse in any form and agree that, to be effective, programs to eliminate substance abuse and impairment should contain a strong rehabilitation component. The local parties recognize that the implementation of a drug and alcohol policy and program must be subject to all applicable federal, state, and local laws and regulations. Such policies and programs must also be administered in accordance with accepted scientific principles, and must incorporate procedural safeguards to ensure fairness in application and protection of legitimate interests of privacy and confidentiality. To provide a drug-free workforce for the Electrical Construction Industry, each IBEW local union and NECA chapter shall implement an area-wide Substance Abuse Testing Policy. The policy shall include minimum standards as required by the IBEW and NECA. Should any of the required minimum standards fail to comply with federal, state, and/or local laws and regulations, they shall be modified by the local union and chapter to meet the requirements of those laws and regulations.
