Adjustment Notification. In the event of addition or deletion of square footage at a school, the Board shall provide thirty calendar (30) days’ notice of such change to the caretaker and to the Union. The adjustment in compensation shall take effect as of the date on which the change is effective.

Such notification shall also include the amount of any such adjustment in Sales and Use Tax or Sales Tax Receipts. Home Depot shall notify the City in writing within ninety (90) days after receipt of notice of the intent of the State of Texas to audit Home Depot. Such notification shall also include the period of such audit or investigation.

The Company shall notify the City in writing within sixty (60) days after a final action or determination that is non-appealable or is no longer appealable of any adjustments found, determined or made by the Company or a Company Affiliate, the State of Texas or by an audit or other action that results, or will result, in either a refund, repayment of, or reallocation of Sales Tax Receipts or the payment of additional Sales and Use Tax. Such notification shall also include the amount or estimated amount of any such adjustment in Sales and Use Tax or Sales Tax Receipts. The provisions of this Section 3.1(b) shall survive termination of this Agreement until the end of the State of Texas audit period for the last year of the Grant Period.

EPC shall promptly notify the City in writing upon becoming aware of any adjustments found, determined or made by EPC the Retailers, the State of Texas or by an audit that results, or will result, in either a refund or reallocation of Sales Tax Receipts or the payment of Sales and Use Tax or involving amounts reported by the EPC or the Retailers as subject to this Agreement. Such notification shall also include the amount of any such adjustment in Sales and Use Tax or Sales Tax Receipts known to EPC. EPC shall notify the City in writing within thirty (30) days after receipt of notice of the intent of the State of Texas, to audit EPC and/or upon learning of the Comptroller's intention to audit any of the Retailers. Such notification shall also include the period ofsuch audit or investigation, if known to EPC.

Adjustment Notification. The party initiating the emergency adjustment shall notify the other party immediately of such occurrence. TOWN shall specify steps to be taken by ESTA to notify patrons of the change in routing and/or scheduling necessitated by such emergency adjustments, and/or modifications to the emergency adjustments made by ESTA. Should ESTA in making temporary adjustments to service incur added expenses beyond those compensated under the primary terms of Agreement, TOWN and ESTA shall negotiate a fair and equitable adjustment in compensation for service.
