Commission is to be paid to Auctioneer pursuant to and in accordance with that certain agreement between Auctioneer and Seller regarding authorization and compensation, and to Broker, if any, pursuant to the Terms and Conditions of the Auction, Broker/Bidder Participation Form and Broker Listing Agreement for Auction, relative to the subject Property, which documents are incorporated herein by reference. SEVEN HILLS AUCTIONS, LLC, auctioneer/broker, is acting exclusively as agent for the Seller.

Agency and Brokerage. Xxxxxx-Xxxxxx Management is a licensed Georgia Real Estate Brokerage firm and is acting as the authorized agent of Owner for the purpose of leasing and managing property in accordance with a separate management agreement. It is the policy of Xxxxxx-Xxxxxx Management to represent Owners in the leasing and management of their properties. The Owner pays a fee to Xxxxxx-Xxxxxx Management for this service. Tenant acknowledges they are not represented by Xxxxxx-Xxxxxx Management and are solely responsible for protecting their own interests, and that Xxxxxx- Xxxxxx Management’s role is limited to performing ministerial acts for Tenant. Xxxxxx agrees to communicate with Management on all issues relating to or arising out of this Lease Agreement and to pay the rent due hereunder to Management at the address of Management. Management shall have the power and legal authority to exercise the rights of the Owner hereunder. All parties acknowledge that there is an agreement between Management and the Owner to manage Property and the termination of the Management Agreement shall not terminate this Lease.
