Aircraft Sales. The Administrative Agent shall cause the Operating Bank to deposit any and all proceeds received in respect of any Aircraft Sale by any ACS Group Member (including any loss proceeds and any other amounts under the relevant ACS Group Purchase Agreement), in each case in the Collections Account (other than in connection with any sale of all or substantially all of the assets of the ACS Ireland Group or ACS Bermuda Group, as applicable, in which case the Administrative Agent shall deposit any and all proceeds of any thereof (together with any Premium into the Repayment Account in connection with the repayment of the Loans or Guarantor Loans, as applicable), in each case as specified in a Written Notice of the Administrative Agent to the Facility Agent, the Collateral Agent and the Operating Bank. Any funds then on deposit in a Lessee Funded Account, the Security Deposit Account or the Maintenance Reserve Account related to the ACS Group Aircraft subject to such sale or other disposition shall be applied on a basis consistent with the terms of the Lease related to such ACS Group Aircraft, if any, or as otherwise provided by the relevant agreements related to such sale or other disposition. To the extent that any amount on deposit in a Lessee Funded Account, the Security Deposit Account or the Maintenance Reserve Account is retained by the ACS Group following such sale and application as provided in the preceding sentence, such amounts shall be deposited into the Collections Account.
Aircraft Sales. The Cash Manager shall cause the Operating Bank to deposit any and all proceeds received in respect of any Aircraft Sale by any ACS Group Member (including any loss proceeds and any other amounts under the relevant ACS Group Purchase Agreement), in each case in the Collections Account (other than in connection with any sale of all or substantially all of the assets of the ACS Ireland Group or ACS Bermuda Group, as applicable, in which case the Cash Manager shall deposit any and all proceeds of any thereof into the Defeasance/Redemption Account in connection with the redemption of each subclass of the Securities or Guarantor Securities, as applicable), in each case as specified in a Written Notice of the Cash Manager to the Trustee, the Security Trustee and the Operating Bank (which Written Notice of the Cash Manager shall, as a condition to any such deposit, be accompanied by a Written Notice of the Administrative Agent setting forth the amount of such deposit). Any funds then on deposit in a Lessee Funded Account or the Security Deposit Account related to the ACS Group Aircraft subject to such sale or other disposition shall be applied on a basis consistent with the terms of the Lease related to such ACS Group Aircraft, if any, or as otherwise provided by the relevant agreements related to such sale or other disposition.
Aircraft Sales. 40 41 Except as otherwise provided in any agreement between the FBO or business and the County, 42 an FBO or business providing aircraft sales shall:
44 a. Construct a building or lease all or a portion of a building to provide suitable 45 facilities for office space, flight planning, customer lounge area, aircraft parking, auto 46 parking for customers/employees, and provide properly lighted and heated restrooms 47 for customers/employees;
48 b. Have a minimum of one fully qualified demonstrator pilot employed with an 49 appropriate and current FAA pilot certificate, current Airman Medical Certificate and 50 ratings appropriate for the type of aircraft to be demonstrated;
51 c. Provide Personnel on duty during normal business hours;
1 d. Have satisfactory arrangements at the Airport, or at another Airport, for repair and 2 servicing of aircraft sold with service guarantee; and
3 e. Have access to an adequate supply of parts and servicing facilities to provide 4 maintenance service to customer's aircraft.
Aircraft Sales. (a) Land The leasehold shall contain a minimum area of 15,000 square feet to provide space for required buildings, display and storage of aircraft and private automobile parking.
(b) Buildings Lease or construct a minimum of3,000 square feet of properly lighted and heated space for display of aircraft, of office and public lounge facilities and public use telephone. Indoor restrooms shall be provided unless reasonably available from existing facilities.
Aircraft Sales. A SASO offering aircraft sales shall have one (1) person with a current commercial pilot's certificate with rating appropriate for the type of aircraft to be demonstrated as well as adequate staffing to service aircraft and accessories during warranty periods (new aircraft only).
