Annual Certification of Compliance. By the last day of the fourth month following the end of each Project Year (“Deadline”), and subject to one request by the Company for a reasonable extension of time of no more than 60 days if made, in writing, before the Deadline, the Company shall deliver to LED a Certification of Compliance with the Company Objectives under this Agreement, including specific verification of the creation and maintenance of Required Annual Jobs and Payroll. The Certificate of Compliance shall be in the general form of Exhibit 2 attached hereto and shall be accompanied by the additional materials referenced therein. All original documentation supporting the Certification of Compliance shall be maintained by the Company as required by the Rules. Failure to timely submit the annual Certification of Compliance may result in LED reporting to the Local Governmental Entities a failure to satisfy Required Annual Jobs and Payroll per Section 6.01(B)(4). With regard only to the first Project Year referenced in Section 4.02(B), the Company shall deliver to LED the Certification of Compliance either within the time delay referenced in the prior paragraph or 90 days following the date that LED submits the Exemption Contract to the Company for execution, whichever is later.

Annual Certification of Compliance. The Contractor shall timely provide the County with all of the documents and reports required by this Agreement. During the first month of each Operating Year or such other time that is mutually acceptable to the parties, the Contractor shall certify in writing to the County that all required documents are current and have been filed with the County, including but not limited to the Contractor’s certificate of insurance, performance bond, and the Operating Manual.
Annual Certification of Compliance. As soon as practicable and in any event on or before the expiration of any insurance policy required hereunder, the Managing Member shall furnish, or cause to be furnished, to the Members, a certificate signed by a authorized insurance representative of Company, MWCI or the Project Company, showing the insurance then maintained by or on behalf of Company, MWCI or the Project Company pursuant to this Schedule 8.4 and stating that such insurance complies in all material aspects with the terms hereof, is in full force and effect and that all premiums then due have been paid or are not in arrears.
Annual Certification of Compliance. [ALL EMPLOYEES] - All employees will be required to certify annually that they: - have read the Code of Ethics; - understand the Code of Ethics; and - have complied with the provisions of the Code of Ethics. - The Compliance Department or the designated Compliance Officer will send out annual forms (attached as EXHIBIT 6) to all employees that must be completed and returned NO LATER THAN 30 days after the end of the calendar year. Any person who repeatedly returns the reports late may be subject to the penalties in Section (G) regarding Code of Ethics violations.
Annual Certification of Compliance. At the request of Lessor, Lessee shall furnish to Lessor and the Administrative Agent, with a copy for each Lender, as required, a certificate signed by an authorized officer of Lessee or authorized insurance representative, showing the insurance then maintained by or on behalf of Lessee pursuant to this Exhibit B and stating that such insurance complies in all material aspects with the terms hereof, is in full force and effect and that all premiums then due have been paid or are not in arrears. In the event that at any time the insurance as herein provided shall be reduced (and such reduction is not reinstated) or cease to be maintained, then (without limiting the rights of the Administrative Agent under the Credit Agreement in respect of the Event of Default which arises as a result of such failure) the Administrative Agent may at its option maintain the insurance required hereby and, in such event, Lessee shall reimburse the Lessor or the Administrative Agent, as applicable, upon demand for the cost thereof together with interest thereon at a rate as specified in the Credit Agreement, but in no event shall the rate of interest exceed the maximum rate permitted by law.
