Annual Statement as to Compliance; Notice of Event of Servicing Termination. (a) The Servicer shall deliver to the Owner Trustee and the Indenture Trustee, on or before March 31 of each year, commencing March 31, 2003, an Officer's Certificate, stating that (i) a review of the activities of the Servicer during the preceding calendar year (or such shorter period, with respect to the first such Officer's Certificate) and of its performance of its obligations under this Agreement has been made under such officer's supervision and (ii) to the best of such officer's knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement throughout such year (or such shorter period with respect to the first such Officer's Certificate), or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereof. A copy of such certificate shall be delivered by the Indenture Trustee to each Noteholder, promptly following the Indenture Trustee's receipt of such certificate, pursuant to Section 7.4 of the Indenture. In addition, a copy of such certificate may be obtained by any Certificateholder by a request in writing to the Owner Trustee or by any Person certifying that it is a Note Owner by a request in writing to the Indenture Trustee, in either case addressed to the applicable Corporate Trust Office. Upon the telephone request of the Owner Trustee, the Indenture Trustee shall promptly furnish the Owner Trustee a list of Noteholders as of the date specified by the Owner Trustee.
(b) The Servicer shall deliver to the Owner Trustee, the Indenture Trustee and the Rating Agencies, promptly upon having knowledge thereof, but in no event later than five Business Days thereafter, written notice in an Officer's Certificate of any event which constitutes or, with the giving of notice or lapse of time or both, would become, an Event of Servicing Termination under Section 8.1.
Annual Statement as to Compliance; Notice of Event of Servicing Termination. (a) On or before May 31 of each year (commencing with the year 2006), the Servicer shall deliver to the Depositor, the Owner Trustee and the Indenture Trustee an Officer’s Certificate stating, as to the officer signing such Officer’s Certificate, that:
(i) a review of the activities of the Servicer during the preceding Trust Fiscal Year (or, in the case of the Officer’s Certificate to be delivered in the year 2006, during the period beginning on the Closing Date and ending on February 28, 2006) and of its performance under this Agreement has been made under such officer’s supervision; and
(ii) to the best of such officer’s knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement throughout such Trust Fiscal Year (or, in the case of the Officer’s Certificate to be delivered in the year 2006, such period) or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereof. Notwithstanding the foregoing, to the extent that the Commission adopts a rule requiring the delivery by the Servicer of an annual report on an assessment of servicing compliance on the basis of detailed servicing criteria, the delivery of a copy of such report to the Depositor, the Owner Trustee and the Indenture Trustee shall be deemed to satisfy the provisions of this subsection. A copy of such certificate may be obtained by any Certificateholder by a request in writing to the Owner Trustee, or by any Noteholder or Person certifying that it is a Note Owner by a request in writing to the Indenture Trustee, in either case addressed to the applicable Corporate Trust Office. Upon the written request of the Owner Trustee, the Indenture Trustee shall promptly furnish the Owner Trustee a list of Noteholders as of the date specified by the Owner Trustee. Notwithstanding the foregoing, the delivery of a copy of the report on the assessment of servicing compliance complying with the requirements of Regulation AB under the Securities Act of 1933, as amended, shall be deemed to satisfy the provisions of this Section.

(b) The Servicer shall deliver to the Owner Trustee, the Indenture Trustee and each Rating Agency promptly after having obtained actual knowledge thereof, but in no event later than five (5) Business Days thereafter, written notice in an Officer's Certificate of any event which with the giving of notice or lapse of time, or both, would become an Event of Servicing Termination under Section 7.1.

A copy of such certificate may be obtained by any Certificateholder by a request in writing to the Owner Trustee, or by any Noteholder or Person certifying that it is a Note Owner by a request in writing to the Indenture Trustee, in either case addressed to the applicable Corporate Trust Office.

(a) The Servicer shall deliver to the Owner Trustee, the Indenture Trustee and each Rating Agency on or before March 1 of each year beginning March 1, 2007, a servicer compliance statement with respect to the preceding calendar year in accordance with Item 1123 of Regulation AB.
(b) The Servicer shall deliver to the Owner Trustee, the Indenture Trustee and each Rating Agency promptly after having obtained actual knowledge thereof, but in no event later than five (5) Business Days thereafter, written notice in an Officer's Certificate of any event which with the giving of notice or lapse of time, or both, would become an Event of Servicing Termination under Section 7.1.
(c) The Servicer will deliver to the Owner Trustee and to the Indenture Trustee, on or before March 1 of each year, beginning March 1, 2007, a report regarding the Servicer's assessment of compliance with the applicable Servicing Criteria during the immediately preceding calendar year, as required under Rules 13a-18 and 15d-18 of the Exchange Act and Item 1122 of Regulation AB.

(a) On or before May 31 of each year (commencing with the year 2003), the Servicer shall deliver to the Depositor, the Owner Trustee, the Indenture Trustee and the Insurer an Officer's Certificate stating, as to the officer signing such Officer's Certificate, that:
(i) a review of the activities of the Servicer during the preceding Fiscal Year (or, in the case of the Officer's Certificate to be delivered in the year 2003, during the period beginning on the Closing Date and ending on February 28, 2003) and of its performance under this Agreement has been made under such officer's supervision; and
(ii) to the best of such officer's knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement throughout such Fiscal Year (or, in the case of the Officer's Certificate to be delivered in the year 2003, such period) or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereof.
(b) The Servicer shall deliver to the Depositor, the Owner Trustee, the Indenture Trustee, the Insurer and the Rating Agencies, promptly after having obtained knowledge thereof, but in no event later than five (5) Business Days thereafter, an Officer's Certificate specifying any event which constitutes or, with the giving of notice or lapse of time or both, would become an Event of Servicing Termination.
Annual Statement as to Compliance; Notice of Event of Servicing Termination. (a) The Master Servicer shall deliver to the Owner Trustee, the Indenture Trustee, the Securities Administrator and each Rating Agency on or before March 15 of each year beginning March 15, 2006, an Officer's Certificate, dated as of December 31 of the preceding calendar year, stating that (i) a review of the activities of the Master Servicer during the preceding 12-month period (or such shorter period in the case of the first such certificate) and of its performance under this Agreement has been made under such officer's supervision and (ii) to the best of such officer's knowledge, based on such review, the Master Servicer has fulfilled all its obligations under this Agreement throughout such period, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereof. The Master Servicer shall also forward to each such party such similar certifications as it receives from each Receivables Servicer.
(b) The Master Servicer shall deliver to the Owner Trustee, the Indenture Trustee and each Rating Agency promptly after having obtained actual knowledge thereof, but in no event later than five (5) Business Days thereafter, written notice in an Officer's Certificate of any event which with the giving of notice or lapse of time, or both, would become an Event of Servicing Termination under Section 7.1 or a default under any Receivables Servicing Agreement.
Annual Statement as to Compliance; Notice of Event of Servicing Termination. (a) The Servicer shall deliver to the Owner Trustee, the Indenture Trustee and each Rating Agency on or before April 30 of each year beginning April 30, 2001, an Officer's Certificate, dated as of December 31 of the preceding calendar year, stating that (i) a review of the activities of the Servicer

(a) The Servicer will deliver to the Purchaser on or before March 30 of each year beginning, March 30, 2006, an Officer's Certificate, dated as of December 31 of the preceding calendar year, stating, as to the Authorized Officer signing such Officer's Certificate, that:
(i) a review of the Servicer's activities and of its performance under this Agreement during the preceding calendar year (or since the Closing Date if such Closing Date occurred in the preceding calendar year) has been made under such Authorized Officer's supervision; and
(ii) to such Authorized Officer's knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement throughout such calendar year (or since the Closing Date if such Closing Date occurred in the preceding calendar year) in all material respects, or, if there has been a default in the fulfillment of any such obligation in any material respect, specifying each such default known to such Authorized Officer and the nature and status of such default; PROVIDED, that if the Purchaser (and any assignee of the Purchaser in a Securitization) is not required to file periodic reports under the Securities Exchange Act of 1934, or otherwise required by law to file an Officer's Certificate of the Servicer as to compliance, such Officer's Certificate may be delivered on or before April 30 of each calendar year.
(b) Promptly after having obtained knowledge of the occurrence of an Event of Servicing Termination under Section 6.1, the Servicer will deliver to the Purchaser notice of such occurrence.
Annual Statement as to Compliance; Notice of Event of Servicing Termination. (a) The Servicer will deliver to the Master Servicer on or before March 15 of each year beginning March 15, 2007, an Officer’s Certificate, dated as of December 31 of the immediately preceding year, stating that:
(i) a review of the activities of the Servicer during the preceding 12-month period (or, with respect to the first such certificate, such period as shall have elapsed from the Cutoff Date to the date of such certificate) and of its performance under the Basic Documents has been made under such officer’s supervision; and
(ii) to such officer’s knowledge, based on such review, the Servicer has fulfilled all its obligations under the Basic Documents throughout such period, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereof. The Servicer shall deliver to the Master Servicer on or before March 15 of each year, beginning on March 15, 2007, a report regarding the Servicer’s assessment of compliance within the Servicing Criteria during the immediately preceding calendar year, as required under Rules 13a-18 and 15d-18 of the Exchange Act and Item 1122 of Regulation AB.
(b) The Servicer will deliver to the Master Servicer promptly after having obtained knowledge thereof, notice of the occurrence of any Event of Servicing Termination.
