ANTI-BRIBERY CLAUSE. Within the framework of its commercial dealings with Buyer, the supplier is obliged to desist from all practices which may lead to penal liability due to fraud or embezzlement, insolvency crimes, crimes in violation of competition, guaranteeing advantages, bribery, acceptance of bribes or other corruption crimes on the part of persons employed by supplier or other third parties. In the event of violation of the above, Xxxxx has the right to immediately withdraw from or terminate all legal transactions existing with the supplier and the right to cancel all negotiations. The above notwithstanding, the supplier is obliged to adhere to all laws and regulations applicable to both itself and the commercial relationship with Buyer. Supplier has a duty to ensure that any employees used on site at Mercedes-Benz Group and/or that any employees given access to any IT-systems in connection with fulfilling the requirements of this purchase order must receive an admission and/or access authorization from Mercedes-Benz Group. Individuals to whom Mercedes-Benz Group or any Mercedes-Benz Group affiliate has declared a house ban, an admission ban, and/or an access ban can not be used by the supplier in the fulfillment of this purchase order. ANTI-BRIBERY CLAUSE. Seller must comply fully at all times with applicable national and international anti-bribery rules, including, without limitation, the U.S. Foreign Corrupt Practices Act, the U.K. Bribery Act and applicable EU, OECD and Council of Europe anti-bribery rules. Seller will not offer, make, promise to make, or authorize the making of any gift or payment of money or anything of value either directly or indirectly for purposes of (a) influencing any act or decision of any government official or political party (or candidate thereof) (collectively, “Officials”); (b) inducing an Official to do or omit to do any act in violation of the lawful duty of that Official; or (c) inducing an Official to use influence with a non-U.S. government or instrumentality to facilitate Seller’s performance of its obligations under any Order. Seller and its affiliates must at all times keep complete and accurate books and records. All records and information that Seller provides to 3M pertaining to the performance of each Order must be complete and accurate.
ANTI-BRIBERY CLAUSE. Managers and their Directors, Officers, Employees, Masters and Crew members shall comply with the applicable laws, rules, regulations, decrees and/or official government orders, including but not limited to the United Kingdom Bribery Act of 2010 as amended and the United States of America Foreign Corrupt Practices Act of 1977 as amended, or any other applicable jurisdiction, relating to Anti- Bribery and Anti-Money Laundering and that they shall take no action which would subject themselves or the Owners to fines or penalties under such laws, regulations, rules decrees or orders.
ANTI-BRIBERY CLAUSE. 1. During the execution and performance of the Agreement and after the termination of the Agreement, the staff of either party shall adhere to the principles of objectivity, impartiality and fairness, and either Party (1) shall provide any remuneration, gifts or other tangible or intangible benefits to the employees and/or their family members of the other party or its affiliated company with which it has actual or potential business relations; (2) shall not arrange for the employees or their family members of the other party or the other party's affiliated company any activities that may affect the fair signing or performance of the Agreement; (3) if the employees or their family members of the party have interests in those of the other party, the employees of that party shall take the initiative to implement the avoidance system; (4) all discounts granted to the other party shall be explicitly stated in the Agreement or Supplementary Agreement, and discounts, labor fees or information fees shall not be returned to employees or family members of the other party or its affiliated company in any form beyond the Agreement or Supplementary Agreement.
