APPLICABLE LAWS, RULES AND REGULATIONS. All transactions shall be subject to the applicable laws, rules and regulations of all federal, state and self-regulatory authorities, including, but not limited to, the rules and regulations of the Board of Governors of the Federal Reserve System and the constitution, rules and customs of the exchange or market (and clearing house) where such transactions are executed.
APPLICABLE LAWS, RULES AND REGULATIONS. The Plan and the grant of Awards will be subject to all applicable Federal, state, local and non-U.S. laws, rules and regulations and to such approval by any government or regulatory agency as may be required.
APPLICABLE LAWS, RULES AND REGULATIONS. Purchaser shall comply with all applicable laws, rules, and regulations including any applicable export controls, sanctions, embargoes, or other restrictions, in relation to any goods supplied by Seller under these terms and conditions. Purchaser warrants that any goods delivered by Seller shall not be re-exported, sold, transferred, or used in breach of the aforementioned laws, rules, and regulations. Purchaser shall indemnify, defend, and hold harmless Seller and its affiliates and its and their officers, directors, employees and agents against any and all claims, losses, damage, costs, penalties, and / or fines whatsoever suffered by Seller arising in connection with Purchaser’s violation of all appliable laws, rules and regulations and/or the aforesaid warranty.
APPLICABLE LAWS, RULES AND REGULATIONS. 8.1 New York Law Governs; New York Courts. The Contract shall be governed by and construed in accordance with the laws of the State of New York. Any and all claims asserted by or against the Owner arising under this Contract or related hereto shall be heard and determined either in the Federal Courts, located in the City or in the New York State Courts located in the City and County of New York. To effect this agreement and intent, the Consultant agrees as follows:
8.1.1 If the Owner initiates any action against the Consultant in Federal Court or in New York State Court, service of process may be made on the Consultant in person, wherever the Consultant may be found, or by registered mail addressed to the Consultant at its address as set forth in this Contract, or to such other address as the Consultant shall have provided to the Owner in writing.
8.1.2 With respect to any action between the Owner and the Consultant in New York State Court, the Consultant hereby expressly waives and relinquishes any rights it might otherwise have (i) to move to dismiss on grounds of forum non conveniens, and (ii) to move for a change of venue to a New York State Court outside New York County.
8.1.3 With respect to any action between the Owner and the Consultant in Federal Court located in the City, the Consultant expressly waives and relinquishes any right it might otherwise have to move to transfer the action to a Federal Court outside the City.
8.1.4 If the Consultant commences any action against the Owner in a court located other than in the City and State of New York, then, upon request of the Owner, the Consultant shall either consent to a transfer of the action to a court of competent jurisdiction located in the City and State of New York or, if the court where the action is pending will not or cannot transfer the action, the Consultant shall consent to dismiss such action without prejudice and may thereafter reinstitute the action in a court of competent jurisdiction in the City.
APPLICABLE LAWS, RULES AND REGULATIONS. This Agreement shall be subject to, and interpreted under the laws, rules, decisions and regulations of the State of California, without regard to its conflict of laws principles, the Commission, and SCE's Commission-approved tariffs.
APPLICABLE LAWS, RULES AND REGULATIONS. 12.1 The provisions hereof shall be subject to all applicable valid laws and all applicable valid rules, regulations and orders of any governmental authority having jurisdiction; and in the event any provision hereof shall be found to be contrary to, or inconsistent with, any such law, rule, regulation or order, the latter shall prevail and this Agreement shall be deemed modified to the extent, but only to the extent, necessary for it to be consistent therewith, subject to the further provisions of this Article 12.
12.2 In the event a Joint Bid Hereunder would be disqualified under any provision of 30 CFR 256.44 or under any other applicable law, rule, regulation or order, then no such bid shall be submitted, and this Agreement shall thereupon terminate as to each Subject Block affected by such disqualification (except that the obligations of the Parties under Article 7 hereof shall remain in force and effect during the period of time specified therein).
12.3 Each Party hereby represents that:
12.3.1 Such Party has heretofore filed with the appropriate Minerals Management Service ("MMS") office(s) all statements, reports, documents and other matters required by 30 CFR 256.41, DOI notice of sale and/or any other applicable law, rule, regulation or order in order for such Party to qualify to submit a bid at a Subject Sale, to the extent same may be so filed prior to the time of actually submitting a bid; and
APPLICABLE LAWS, RULES AND REGULATIONS. LSS leadership and staff shall adhere to all applicable local, state, and federal laws and regulations. LSS leadership and Staff shall adhere to all applicable food safety laws and regulations. LSS leadership and staff shall adhere to the LSS and City Codes of Conduct and Performance and Conduct Standards respectively. If there are conflicts between the LSS and City codes of conduct, LSS Code of Conduct shall control for LSS employees and volunteers.
