ASSIGNMENT, SUBLEASE, OR LICENSE. Lessee shall not assign or sublease the demised premises, or any right or privilege connected with the demised premises, or allow any other person except agents and employees of lessee to occupy the demised premises or any part of the demised premises without first obtaining the written consent of lessor. A consent by lessor shall not be a consent to a subsequent assignment, sublease, or occupation by other persons.

This paragraph specifically includes a restriction on Xxxxxx’s temporary assignment to any third party of a license to use Lessee’s Parking, including on a short term, temporary or daily basis and to enter upon the Premises for any reason whatsoever. In no case shall keys or security passes used to enter the building be assigned or lent to any individual not a party to this Lease. Breach of the Lease by doing so shall be cause for immediate termination of this Lease at Xxxxxx’s discretion.

Notwithstanding anything in this Lease to the contrary, Lessee may, without the prior written consent of Lessor, assign this Lease or sublet all of any portion of the Premises to any: (i) entity under the control of Lessee; (ii) any entity that controls Lessee, (iii) any entity that is controlled by an entity that also controls Lessee; or (iv) any entity that acquires Lessee or substantially all of Lessee's assets. For purposes of the foregoing, an entity shall be deemed to control another entity if it directly or indirectly (through one or more subsidiaries) owns at least 75% of the voting securities of such other entity. No assignment or sublease shall release Lessee from its responsibilities and obligations pursuant to the Lease.

Any unauthorized assignment, sublease, or license to occupy made by the LESSEE, or by any other person, shall be void and may result in the termination of the lease, at the option of COUNTY. The parties agree that this non-assignment provision is a material condition for this lease. The COUNTY has entered into this agreement with the LESSEE under these terms and conditions because of the COUNTY'S express intention to support the efforts of this local, not for profit organization to provide health care in this community, in a manner that is responsive to the needs of this community, and because of the legal authority, under A.R.S. § 11-256.01, to enter into this lease with this specific party. The parties acknowledge that as a result, this lease agreement constitutes a non-delegable lease for purposes of § 365 (c) of the United States Bankruptcy Code.

ASSIGNMENT, SUBLEASE, OR LICENSE. Assignment, Sublease or License. Tenant shall not assign or sublease the Demised Premises, or any right or privilege connected therewith, or allow any other person except agents and employees of Tenant to occupy the Demised Premises or any part thereof without first obtaining the written consent of Landlord which consent shall not be unreasonably withheld or delayed. A consent by Landlord shall not be a consent to a subsequent assignment, sublease or occupation by any other person. An unauthorized assignment, sublease or license to occupy by Tenant shall be void and shall terminate the Lease at the option of Landlord. Notwithstanding the foregoing, Tenant may assign this Lease or sublease the Demised Premises, or any portion thereof, without any consent from Landlord, to (a) any entity resulting from a merger or consolidation of Tenant, (b) any subsidiary or affiliate of Tenant, or (c) any entity that acquires all or a portion of Tenant's assets and business and, immediately following such acquisition, has a net worth equal to or greater than Ten Million Dollars ($10,000,000.00). In each such case, the transferee or successor shall assume in writing (or succeed by operation of law to) all of the obligations thereafter to be performed by Tenant hereunder, as to the Demised Premises or portion thereof covered by such assignment or sublease. Tenant shall give Landlord written notice of any such assignment or sublease, or transaction resulting in the same, within thirty (30) days thereafter, setting forth in such notice all information necessary to establish that the provisions of this Section are satisfied.
