Assignment, Transfer and Sub-Contracting. 10.1 The Service Provider shall not:
10.1.1 sub-contract, assign or transfer (whether voluntarily or involuntarily, by operation of law or otherwise) this Framework Agreement or any part thereof or create or permit to exist any right , title or interest (including, without limitation, any security interest and any beneficial interest under any trust) in, to or under, any of its rights under this Framework Agreement; or
10.1.2 purport to transfer, sub-contract or delegate any of its obligations under this Framework Agreement to any third party without the prior written consent of the relevant Framework Purchaser or LGOPC. Save as expressly permitted by clause 10.2 any purported sub-contracting, assignment or transfer in breach of this clause 10.1 shall be void.
10.2 In the event of consent to sub-contract being given, the Service Provider shall ensure that the sub- contractor is a reasonable and prudent service provider and that the sub-contractor shall carry out its obligations in accordance with the terms of this Framework Agreement. Notwithstanding the foregoing, the Service Provider acknowledges that it remains fully liable and responsible for the provision of the Plumbing Services and the acts and omissions of the sub-contractor as if they were its own.
10.3 The Service Provider shall also maintain during the term of this Framework Agreement and for 6 years thereafter records and documentation relating to the sub-contractor and the Plumbing Services provided by it and shall make same available to the LGOPC upon request.
10.4 This Framework Agreement shall be binding upon successors and assigns of each Framework Purchaser and the Service Provider and the name of a party appearing in this Framework Agreement shall be deemed to include the names of its successors and assigns provided always that nothing shall permit any assignment by either party except as expressly provided.
10.5 The Service Provider shall notify the LGOPC in writing immediately upon the occurrence of a direct or indirect change of control of the Service Provider.

The Contractor shall not sub-contract, assign or transfer these terms and conditions or any part thereof or the benefit or advantage of these terms and conditions or any part thereof without the prior written consent of the Purchaser. Where sub-contracting is consented to pursuant to Clause 20.1 above, the Contractor shall ensure that the sub-contractor is a reasonable and prudent Contractor, and that the sub-contractor shall carry out its obligations in accordance with the terms of these terms and conditions. Notwithstanding the foregoing, the Contractor acknowledges that it remains liable for the acts and omissions of its employees, servants, agents and sub-contractors as if they were its own acts and omissions. These terms and conditions shall be binding upon successors and assigns of the Purchaser and the Contractor and the name of a party appearing in these terms and conditions shall be deemed to include the names of its successors and assigns provided always that nothing shall permit any assignment by either party except as expressly provided.

The Supplier shall not sub-contract, assign or transfer this Framework Agreement or any part thereof or the benefit or advantage of this Framework Agreement to any third party without the prior written consent of the relevant Framework Purchaser or LGOPC. In the event of such consent being given, the Supplier shall ensure that the sub-contractor is a reasonable and prudent supplier and that the sub-contractor shall carry out its obligations in accordance with the terms of this Framework Agreement. Notwithstanding the foregoing, the Supplier acknowledges that it remains fully liable and responsible for the provision of the Products and the acts and omissions of the sub-contractor as if they were its own. The Supplier shall also maintain during the term of this Framework Agreement and for 6 years thereafter records and documentation relating to the sub-contractor and the Products provided by it and shall make same available to the LGOPC upon request. Failure or neglect by any Framework Purchaser to enforce at any time any provision of this Framework Agreement or any Draw-down Contract shall not be construed or deemed to be a waiver of that Framework Purchaser’s rights hereunder, nor in any way affect the validity of the whole or any part of this Framework Agreement, nor prejudice the Framework Purchaser’s rights to take subsequent action.
Assignment, Transfer and Sub-Contracting. 30.1 The Medical Practitioner shall not be entitled to sub-contract, assign or transfer the Agreement or any part thereof or the benefit or advantage of the Agreement or any part thereof.
30.2 The Agreement shall be binding upon successors and assigns of the HSE and the name of the HSE appearing in the Agreement shall be deemed to include the names of its successors and assigns.
Assignment, Transfer and Sub-Contracting. 19.1. The Service Provider shall not be entitled to sub-contract, assign or transfer the Agreement or any part thereof or the benefit or advantage of the Agreement or any part thereof.
19.2. The HSE may assign, transfer or sub-contract the Agreement, or any part thereof. The Service Provider shall, if requested by the HSE, provide all reasonable assistance to the HSE in relation to any such assignment, transfer or sub-contract and fully co-operate with any relevant third parties.
19.3. The Agreement shall be binding upon successors and assigns of the HSE and the name the HSE appearing in the Agreement shall be deemed to include the names of its successors and assigns.

20.1.1 sub-contract, assign or transfer (whether voluntarily or involuntarily, by operation of law or otherwise) this Framework Agreement or any part thereof or create or permit to exist any right, title or interest (including, without limitation, any security interest and any beneficial interest under any trust) in, to or under, any of its rights under this Framework Agreement; or
20.1.2 purport to transfer, sub-contract or delegate any of its obligations under this Framework Agreement to any third party without the prior written consent of the relevant Framework Purchaser or TII. Save as expressly permitted by clause 20.1 any purported sub-contracting, assignment or transfer in breach of this clause
20.2 shall be void.
Assignment, Transfer and Sub-Contracting. The Contractor agrees not to enter into sub-contracts for any of the work contemplated under this contract without prior written approval of Xxxxx. The Contractor further agrees not to assign or transfer any work contemplated under this contract.
Assignment, Transfer and Sub-Contracting. The Customer may not transfer or assign any or all of its rights and obligations under the Agreement without Veson’s prior written consent. Veson may assign or transfer any or all of its rights and obligations under this Agreement to any affiliate, and may subcontract any of its obligations, in its sole discretion. Third Parties: Nothing in this Agreement confers any right on any person (other than the parties) pursuant to the Contracts (Rights of Third Parties) Act 1999.
Assignment, Transfer and Sub-Contracting. This Agreement and the obligations formed under it are personal to Objective and the Customer. The Parties agree that neither Party may, directly or indirectly, assign, transfer or sub-contract any of its rights and/or obligations under this Agreement, without the other Party’s prior written consent which shall not be unreasonably withheld.
Assignment, Transfer and Sub-Contracting. We may freely transfer or sub-contract the Services to any distribution partner or other entity within our corporate group. We may also assign, sub-contract and/or transfer our rights and obligations under this Contract wider than this to another organisation, and we will always notify you in writing if this happens, but this will not affect your rights or our obligations under this Contract.
