Audit and Inspection of Books and Records. Business Associate will make its internal practices, books, records, and other documents, including proof of the performance of any of its obligations under this Agreement relating to its Use and Disclosure of the Private Information available to Horizon for audit and compliance purposes during regular business hours at its place of business; and to the U.S. Department of Health and Human Services to determine compliance with the HIPAA Rules, 45 CFR Parts 160-164 or this Agreement.

Audit and Inspection of Books and Records. (a) The Franchisee, and if necessary the Guarantors, will make all books, records, documents, statements, loan application files and other written or computerised material in relation to credit activity conducted by the Business available for inspection by the Company’s representative at any time on the Company giving the Franchisee the minimum of 2 days’ notice (or less notice where that is reasonable). (b) The Company’s representative may take copies of any document or computer hard drive that is relevant to the Business. (c) The Franchisee, its directors and Guarantors will use their best endeavours to assist the Company’s representative to identify and locate all documents and answer any reasonable questions about the Business and any credit activity conducted by or on behalf of the Franchisee during the Term. (d) The purpose of an audit or inspection of documents under this clause is to assess compliance with Credit Legislation, compliance with this Agreement and Operations Manual and/or compliance with any legislative or regulatory requirement relevant to operation of the Business. (e) In the event that the Franchisee has breached Credit Legislation, the Company may require the Franchisee to rectify the breach and reserves the right to withhold Commission payable to the Franchisee until such time as the breach is remedied.
Audit and Inspection of Books and Records. (a) Upon execution of this Agreement and until 3 years following final disbursement under this Agreement, pursuant to Government Code Section 8546.7, the parties shall be subject to the examination and audit by State or any agent thereof, and the State Auditor, with respect to all matters connected with the performance of this Agreement, including, but not limited to, the cost of administering this Agreement. If any litigation, claim, negotiation, audit or other action is commenced before the expiration of said three (3) year period, all records must be retained until such action is resolved, or until the end of said three (3) year period whichever shall later occur. All records of Supplier relating in any way to funding received pursuant to this Agreement shall be preserved for this purpose. (b) During regular office hours, each of the parties hereto and their duly authorized representatives shall have the right to inspect and to make copies of any books, records, or reports of either party pertaining to this agreement or matters related hereto. Each of the parties hereto shall maintain and shall make available at all times for such inspection accurate records of all its costs, disbursements, and receipts with respect to its activities under this Agreement. Failure or refusal by Supplier to comply with this provision shall be considered a substantial failure to comply with this Agreement, State may declare Supplier in default as set forth in Article A-24, withhold disbursements to Supplier, or take any other action it deems necessary to protect its interests. The provisions of this Subpart (b) shall be effective until expiration of the time period provided in Subpart (a) of this Article A-10.

All financial data, written records, reports, work sheets, data, and information prepared, generated, or obtained in connection with Consultant's performance of services for Township shall be made available during the term of the Agreement and for a period of five (5) years thereafter, together with all books and other data or information, in whatever form contained, relating to Consultant's performance under the Agreement. Consultant shall permit the audit and examination of the aforementioned material, including the making of excerpts and transcriptions, by appropriate officers or representatives of Township and any governmental funding agency providing financial assistance for the Project, including the United States Department of Transportation, the Office of the Comptroller General of the United States, and the Pennsylvania Department of Transportation. Consultant shall require its subcontractors/subconsultants to keep written records in reasonable detail of all services performed by them for Consultant under the Agreement and Consultant agrees to include within its subcontracts or other agreements a provision requiring the subcontractor/subconsultant to have an audited overhead rate (either by a cognizant agency or an independent certified public accountant) for the period the costs were incurred and to maintain all books, data, information and records in a form that will support the invoice billed to Consultant. Consultant shall further require that all written records, reports, work sheets, data, and information prepared, generated, or obtained in connection with such subcontractor’s/subconsultant’s performance of services for Consultant shall be made available during the term of the Agreement and for a period of five (5) years thereafter to Township, together with all books and other data or information, in whatever form contained, relating to such subcontractor’s/subconsultant’s performance for Consultant.

Related to Audit and Inspection of Books and Records

  • Inspection of Books and Records Contractor will permit County, or any duly authorized agent of County, to inspect and examine the books and records of Contractor for the purpose of verifying the amount of work performed under the Scope of Services. County’s right to inspect survives the termination of this Agreement for a period of four years.
