Audit and Record-Keeping. Reseller will maintain legible, accurate and complete books and records relating to the Agreement or the sale, licensing, delivery, or end-use of the APEX Service and any Related Services for a period of 5 years from the date of creation, unless mandatory local laws require a longer record retention period. At the end of the retention period, Xxxxxxxx must dispose of all records appropriately. At Dell's request, Reseller must cooperate and assist Dell with any audit, review, or investigation ("Audit") that relates to (i) the Agreement or Reseller’s compliance with law; (ii) Reseller’s sale, distribution, licensing, or delivery of the APEX Service; (iii) any amounts payable by Dell; or (iv) any amounts due to Dell. In connection with an Audit, Xxxxxxxx will deliver all records, information, and documents reasonably requested by Dell. Dell has the right to conduct onsite Audits, and Reseller will grant Dell and its employees and representatives reasonable access to information, records, personnel, and customers (including Customer agreements and other agreements to verify Reseller’s compliance with the Agreement), and provide entry and access to Reseller’s premises or other locations (during normal business hours) where such information and records are located. Failure to cooperate with an Audit or provide the information or records requested by Dell is a material breach of this Agreement. Dell will pay the costs of an Audit except where a discrepancy of five (5) percent or more is discovered in the information disclosed by Xxxxxxxx, in which case Reseller agrees to be responsible for all reasonable costs.

At the end of the retention period, Partner must dispose of all records appropriately. At Dell's request, Partner must cooperate and assist Dell with any audit, review, or investigation ("Audit") that relates to (i) the Agreement or compliance with law; (ii) Partner marketing, sale, distribution, licensing, or delivery of Dell Products and Services, whether sourced from Dell or a third party; (iii) any amounts payable by Dell; or (iv) any amounts due to Dell. The Agent shall on request provide the Client or the Client's representatives such access, on reasonable notice and within normal working hours, to those records as may be reasonably required in connection with this agreement.
Audit and Record-Keeping. The Employment Business shall keep and maintain until six years after the Assignment has been completed, or as long a period as may be agreed between the parties, full and accurate records of the agreement including, in particular: (a) the services provided by the Employment Business under this agreement; (b) all expenditure reimbursed by the Client; (c) all payments made by the Client; (d) the terms on which it or any sub-contractors engage any Temporary Workers; and (e) the Screening undertaken on any Temporary Workers. The Employment Business shall on request provide the Client or the Client's representatives such access, on reasonable notice and within normal working hours, to those records as may be reasonably required in connection with this agreement.
Audit and Record-Keeping. 11.1 For the duration of this agreement and for a period of three years from the termination or expiry of this agreement, Xxxxx & Xxxxxx shall maintain full and accurate records of: (a) the services provided by Xxxxx & Xxxxxx under this agreement; (b) all expenditure reimbursed by the Client; (c) all payments made by the Client; 11.2 Xxxxx & Xxxxxx shall promptly on request provide the Client or the Client's representatives with copies of such records referred to in clause 12.1 as the Client may from time to time reasonably request.
Audit and Record-Keeping. 8.1 The Provider will at all times and on reasonable notice permit for the purposes of audit the Authority and any nominated auditors access to documentation relating to the provision of the Services. 8.2 The Authority reserves the right, at any reasonable time, and as it may deem necessary to require the Provider at its own cost to: 8.2.1 provide evidence of financial resources and the level of turnover sufficient to enable it to continue to perform its obligations under the Agreement; 8.2.2 provide a copy of the Provider’s latest audited accounts; 8.2.3 submit any claim for payment or management information provided to support a claim for payment to be audited by an independent auditor chosen by the Authority; and 8.2.4 provide any additional evidence to support payments made under the Agreement as the Authority shall reasonably require. 8.3 The Provider shall at all times during the Agreement Period and for 12 years thereafter, keep and maintain full and detailed records relating to the delivery of the Services delivered under the Agreement and provide copies of the same to the Authority upon request.
