Awardee. The artificial person or consortium of artificial persons to which a contract is awarded as a result of the bidding process, consisting of Società per Azioni Esercizi Aeroportuari (SEA), Oxxxx Corporation, Corporación América Sudamericana S.A., Società Italiana per le Imprese Miste all’Estero (SIMEST) S.p.A., and Riva Sociedad Anónima, Sociedad Inmobiliaria, Comercial, Financiera y Agropecuaria, all here represented by their attorney in fact and legal representative Maximo Lxxx Xxxxxxx (voter registration booklet No. LE 8326959), who signs beneath the present instrument on behalf and as representative of and by virtue of powers of attorney from the aforementioned firms.
Awardee. Any business unit that is the direct recipient of an OT prototype agreement.

Awardee. The Awardee certifies that the appropriate person(s) have executed the Agreement on behalf of the Awardee as required by applicable articles, bylaws, resolutions, or ordinances.
Awardee. Any recipient of a NASA grant or cooperative agreement, its investigators, and subrecipient (subaward or contract as defined in 2 CFR § 200.1, Definitions) at any level.
Awardee expressly agrees to repay to the City any and all funds advanced to AWARDEE under this Award Agreement which AWARDEE, its officers, employees, agents, assigns, subcontractors or AWARDEE entities, or any other agent to which AWARDEE delegates authority to carry out portions of this Award Agreement, expends in violation of the terms of this Award Agreement or in violation of any federal, state and local statutes, ordinances and/or regulations governing the HOME Program.
Awardee agrees to indemnify, hold harmless, protect, defend and save the City, its elected and appointed officials, agents and employees, while acting within the scope of their duties as such, against any and all claims, demands, damages, costs, liability, expenses, including reasonable attorneys’ fees, or causes of action of any kind or character, including the cost of defense arising out of the performance or omissions of performance or in any way resulting from the acts or omissions of the Awardee and/or its agents, employees, representatives, assigns, AWARDEEs, and/or subcontractors under this Agreement.
